Seaspan has been duly incorporated and is validly existing as a corporation in good standing under the Laws of the Republic of the Xxxxxxxx Islands and has the corporate power and authority to execute and deliver this Purchase Agreement and all other instruments and agreements being executed and delivered by Seaspan as contemplated hereby, to perform its obligations hereunder and thereunder and to consummate the transactions contemplated hereby and thereby.
