Due Organization; Good Standing; Authority of Purchaser. The Purchaser is a corporation duly incorporated, validly existing, and in good standing under the laws of the State of Colorado. The Purchaser has all requisite corporate power to execute, acknowledge, seal and deliver this Agreement, the Articles and the Consulting and Noncompetition Agreements and to perform its obligations hereunder and thereunder.
