Due Organization of the UTI Beneficiary. The UTI Beneficiary --------------------------------------- has been duly formed and is validly existing as a limited partnership under the Indiana Uniform Partnership Act, Ind. C. (S)(S) 23-4-1-1 et seq. (the "Indiana Partnership Act"), and all filings required at the date hereof under the Indiana Partnership Act with respect to the due formation and valid existence of the UTI Beneficiary as a limited partnership have been made; and the UTI Beneficiary has all requisite power and authority to own, lease and operate its properties and to conduct its business as described in the Prospectus and the Partnership Agreement and to enter into and to perform its obligations under the Partnership Agreement and each Basic Document to which it is a party or by which it may be bound. The UTI Beneficiary is duly qualified or registered as a foreign partnership to transact business and is in good standing in each jurisdiction in which such qualification or registration is required, whether by reason of the ownership of property or the conduct of business, except where the failure to so qualify or register would not have a Material Adverse Effect on it.
