Common use of Duly Executed Clause in Contracts

Duly Executed. This Agreement has been duly executed and delivered on behalf of Seller and constitutes, and, when executed and delivered in accordance with this Agreement, each of the other Operative Documents shall constitute, a legal, valid and binding obligation of each of Seller and the Company, as applicable, enforceable against Seller or the Company, as applicable, in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium and other laws affecting creditors' rights generally and general principles of equity.

Duly Executed. This Agreement has been duly executed and delivered on behalf of Seller and constitutes, and, when executed and delivered at the Closing in accordance with this Agreement, each of the other Operative Documents shall constitute, a legal, valid and binding obligation of each of Seller and the Company, as applicableSeller, enforceable against Seller or the Company, as applicable, in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium moratorium, and other laws affecting creditors' ’ rights generally and general principles of equity.
