Common use of Duration of Indemnification Clause in Contracts

Duration of Indemnification. The indemnification obligations under --------------------------- this Agreement shall continue for the periods specified below and shall terminate with the expiration of such respective periods: (a) As to representations and warranties set forth in Paragraph 5(f), and Paragraphs 9 and 10, such representations and warranties shall survive the Closing indefinitely; (b) Any claim or demand against the Seller or the Purchaser of which notice has been given pursuant to this Agreement at or prior to the expiration of the related period shall continue to be subject to indemnification hereunder notwithstanding the expiration of such period.
