DURATION OF NONCOMPETITION OBLIGATIONS. The noncompetition obligations set forth in paragraph 5.1 shall extend until the date that is 18 months after second anniversary of the date of Executive's termination of employment with Company for any reason whatsoever; provided, however, that in the event Executive is entitled to a Termination Payment and the amount thereof is determined by reference to a Severance Period of 36 months, then the noncompetition obligations set forth in paragraph 5.1 shall extend until the third anniversary of the date of Executive's termination of employment with Company.
