Common use of Duration, Termination and Amendment Clause in Contracts

Duration, Termination and Amendment. The initial term of this Agreement with respect to each Fund is for the period from the Effective Date through July 31, 2008. Thereafter, with respect to each Fund, this Agreement will automatically renew from year to year provided such continuance is specifically approved by a majority of the Independent Trustees. This Agreement may be terminated by the Board of Trustees thirty (30) days prior to the next renewal period. This Agreement shall automatically and immediately terminate with respect to each Fund if (i) the Adviser no longer serves as investment adviser to such Fund, and (ii) in the event of its "assignment" (as defined in the Investment Company Act of 1940). The termination of this Agreement with respect to any one Fund will not cause its termination with respect to any other Fund.

Thereafter, with respect to each Fund, this Agreement will automatically renew from year to year provided such continuance is specifically approved by a majority of the Independent Trustees. This Agreement may be terminated by the Board of Trustees thirty (30) days prior to the next renewal period. This Agreement shall automatically and immediately terminate with respect to each Fund if (i) the Adviser if RidgeWorth no longer serves as investment adviser to such Fund, and (ii) in the event of its "RidgeWorth’s “assignment" ” (as defined in the Investment Company Act of 1940). The termination of this Agreement with respect to any one Fund will not cause its termination with respect to any other Fund.

Thereafter, with respect to each Fund, this Agreement will automatically renew from year to year provided such continuance is specifically approved by a majority of the Independent Trustees. This Agreement may be terminated by the Board of Trustees thirty (30) days prior to the next renewal period. This Agreement shall automatically and immediately terminate with respect to each Fund if (i) the Adviser if RidgeWorth no longer serves as investment adviser to such Fund, and (ii) in the event of its "RidgeWorth’s “assignment" ” (as defined in the Investment Company Act of 1940). The termination of this Agreement with respect to any one Fund will not cause its termination with respect to any other Fund.

Duration, Termination and Amendment. The initial term of this Agreement with respect to each Fund is for the period one year from the Effective Date through July 31, 2008Date. Thereafter, with respect to each Fund, this Agreement will automatically renew from for one-year terms, unless WTAM provides written notice to year provided such continuance is specifically approved by a majority Fund of the Independent Trustees. This Agreement may termination of the Agreement, which notice must be terminated received by the Board of Trustees thirty (30) Trust at least 30 days prior to the next renewal periodend of the then-current term. A Fund’s Board of Trustees may terminate this Agreement at any time upon 30 days prior notice. This Agreement shall will terminate automatically and immediately terminate with respect to each a Fund if (i) the Adviser WTAM no longer serves as investment adviser to such the Fund, and (ii) in the event of its "“assignment" (” as defined in the Investment Company Act of 19401940 (“1940 Act”). The termination of this Agreement with respect to any one Fund will not cause its termination with respect to any other Fund.

The initial term of this Agreement with respect to each Fund is for the period from the Effective Date date of the Fund’s inception through July 31February 28, 2008. Thereafter, with respect to each Fund, this Agreement will automatically renew 2022 and shall continue in effect from year to year thereafter provided such continuance is specifically approved by a majority of the Independent Trustees. This Either party may choose to not renew the Agreement may be terminated by providing written notice to the Board of Trustees other at least thirty days (30) days prior to the next renewal period. This Agreement shall automatically and immediately terminate with respect to each Fund if (i) the Adviser Dimensional no longer serves as investment adviser to such Fund, and (ii) in the event of its "“assignment" ” (as defined in the Investment Company Act of 1940). The termination of this Agreement with respect to any one Fund will not cause its termination with respect to any other Fund.

Thereafter, with respect to each Fund, this Agreement will automatically renew from year to year provided such continuance is specifically approved by a majority of the Independent Trustees. This Agreement may be terminated by the Board of Trustees thirty (30) days prior to the next renewal period. This Agreement shall automatically and immediately terminate with respect to each Fund if (i) the Adviser no longer serves as investment adviser to such Fund, and (ii) in the event of its "“assignment" ” (as defined in the Investment Company Act of 1940).
