Common use of Duties and Powers of the Committee Clause in Contracts

Duties and Powers of the Committee. The Committee shall direct and manage the Trust and perform all duties attendant thereto, including: the appointment of trustees and investment managers and the execution of whatever contracts, agreements, or other documents it deems necessary to manage and invest the Trust assets; so long as the principal terms of the Trust are consistent with those set forth herein, determination of the jurisdiction and structure of the Trust (including the reorganization or reconstitution of the Trust in a different jurisdiction or as a statutory trust as distinguished from a common law trust); and protection and enforcement of the rights to the Trust assets vested in the Trust and the Trustee by any method deemed appropriate, including, without limitation, by judicial proceedings or otherwise. The Committee may retain the services of such professional advisors, legal counsel, and administrative support as it deems necessary to carry out its responsibilities hereunder. The reasonable fees and/or compensation of any such assistance the Committee may desire to retain shall be regarded as appropriate Trust administration expenses payable pursuant to Section 6.01. The Committee may adopt policies and procedures governing its direction and management of the Trust, so long as such policies and procedures do not contravene the purpose of the Trust as set forth herein or otherwise conflict with or violate the provisions of this Agreement.

(2) The Committee may retain the services of such professional advisors, legal counsel, and administrative support as it deems necessary to carry out its responsibilities hereunder. The reasonable fees and/or compensation of any such assistance the Committee may desire to retain shall be regarded as appropriate Trust administration expenses payable pursuant to Section 6.01. .
