Duties as Administrator. Xxxxx Fargo shall, at its expense, provide ----------------------- the following administrative services in connection with the operations of Life & Annuity and the Funds: (a) track authorized vs. issued shares; (b) furnish statistical and research data; (c) coordinate (or assist in) the preparation and filing with the U.S. Securities and Exchange Commission of registration statements, notices, reports, and other material required to be filed under applicable laws; (d) coordinate (or assist in) the preparation of reports and other information materials regarding the Funds including proxies and other shareholder communications, and review prospectuses; (e) prepare expense table information for annual updates; (f) provide legal and regulatory advice to the Funds in connection with its other administrative functions; (g) provide office facilities and clerical support for the Funds; (h) develop and implement procedures for monitoring compliance with regulatory requirements and compliance with the Funds' investment objectives, policies and restrictions; (i) provide liaison with the Funds' independent auditors; (j) prepare and file tax returns; (k) review payments of Fund expenses; (l) prepare expense budgeting and accruals; (m) provide communication, coordination, and supervision services with regard to the Funds' transfer agent, custodian, fund accountant, co- administrator, and other service organizations that render recordkeeping or shareholder communication services; (n) provide information to the Funds' distributor concerning fund performance and administration; (o) assist Life & Annuity in the development of additional investment portfolios; (p) provide reports to the Funds' board of trustees regarding its activities; (q) assist in the preparation and assembly of meeting materials, including comparable fee information, as required, for the Funds' board of trustees; and (r) provide any other administrative services reasonably necessary for the operation of the Funds other than those services that are to be provided by Xxxxxxxx pursuant to its Co-Administration Agreement with Life & Annuity and Xxxxx Fargo, and by Life & Annuity's transfer and dividend disbursing agent, custodian, and fund accountant, provided that nothing in this Agreement shall be deemed to require Xxxxx Fargo to provide any services that may not be provided by it under applicable banking laws and regulations. In performing all services under this agreement, Xxxxx Fargo shall: (a) act in conformity with Life & Annuity's Declaration of Trust and By-Laws, the 1940 Act, and any other applicable laws as may be amended from time to time; and Life & Annuity's registration statement under the Securities Act of 1933 and the 1940 Act, as may be amended from time to time; (b) consult and coordinate with legal counsel to Life & Annuity as necessary and appropriate; and (c) advise and report to Life & Annuity and its legal counsel, as necessary and appropriate, with respect to any compliance or other matters that come to its attention. In connection with its duties under this Paragraph 3, Xxxxx Fargo may, at its own expense, enter into sub-administration agreements with other service providers, provided that each such service provider agrees with Xxxxx Fargo to comply with all relevant provisions of the 1940 Act, the Investment Advisers Act of 1940, any other applicable laws as may be amended from time to time, and all relevant rules thereunder. Xxxxx Fargo will provide Life & Annuity with a copy of each sub-administration agreement it executes relating to Life & Annuity. Xxxxx Fargo will be liable for acts or omissions of any such sub-administrators under the standards of care described herein under Paragraph 5. In performing its services under this agreement, Xxxxx Fargo shall cooperate and coordinate with Xxxxxxxx as necessary and appropriate and shall provide such information to Xxxxxxxx as is reasonably necessary or appropriate for Xxxxxxxx to perform its obligations to Life & Annuity.

(u) obtain and keep in effect fidelity bonds and directors and officers/errors and omissions insurance policies for the Trust in accordance with Life & Annuity the requirements of Rules 17g-1 and Xxxxx Fargo, and by Life & Annuity's transfer and dividend disbursing agent, custodian, and fund accountant, provided that nothing in this Agreement shall be deemed to require Xxxxx Fargo to provide any services that may not be provided by it 17d-1(7) under applicable banking laws and regulations. In performing all services under this agreement, Xxxxx Fargo shall: (a) act in conformity with Life & Annuity's Declaration of Trust and By-Laws, the 1940 Act, Act as such bonds and policies are approved by the Trust’s Board of Trustees; (v) provide the Board on a regular basis with reports and analyses of each Fund’s operations and the operations of comparable investment companies; and (w) take any other applicable laws as may be amended from time actions which appear to time; and Life & Annuity's registration statement under the Securities Act of 1933 UBS AM and the 1940 ActBoard necessary to carry into effect the purposes of this Contract. To the extent UBS AM engages a third-party data service to assist with the calculation of total return (and, if applicable, yield) information as may be amended from time to time; (bdescribed in the current prospectus(es) consult and coordinate with legal counsel to Life & Annuity as necessary statement(s) of additional information, UBS AM shall supervise and appropriate; oversee such third party and (c) advise and report to Life & Annuity and its legal counsel, as necessary and appropriate, with respect to any compliance or other matters that come to its attention. In connection with its duties under this Paragraph 3, Xxxxx Fargo may, at its own expense, enter into sub-administration agreements with other service providers, provided that each review the accuracy of such service provider agrees with Xxxxx Fargo to comply with all relevant provisions of the 1940 Act, the Investment Advisers Act of 1940, any other applicable laws as may be amended from time to time, and all relevant rules thereunder. Xxxxx Fargo will provide Life & Annuity with a copy of each sub-administration agreement it executes relating to Life & Annuity. Xxxxx Fargo will be liable for acts or omissions of any such sub-administrators under the standards of care described herein under Paragraph 5. (b) In addition to the Fundsduties set forth herein, FDISG shall perform such other duties and functions, and shall be paid such amounts therefor, as may from time to time be agreed upon in writing by the Company and FDISG. (c) In compliance with the requirements of Rule 31a-3 under the 1940 Act, FDISG hereby agrees that all records which it maintains for the Company are the property of the Company, and further agrees to surrender promptly to the Company any of such records upon the Company's request. Xxxxx Fargo shallIn carrying out the terms of this Agreement with respect to its duties as administrator, at its expense, provide ----------------------- Brinson Advisors shall do the following subject to the sxxxxxxxion of the Trustees: 1. provide the Fund with officers and other corporate, administrative and clerical personnel necessary to perform the Fund's operations; 2. provide office space, equipment and facilities (which may be Brinson Advisors' or its affiliates') for maintaining the Trust'x organization, for meetings of the Trustees and shareholders, and for performing administrative services hereunder; 3. assist the Trust in connection obtaining the services of and contracting with custodians of the Fund's securities, transfer agents, dividend paying agents, pricing services and other service providers as are necessary to carry out the terms of this Agreement; 4. provide oversight of and manage all aspects of the Fund's operations (other than investment advisory activities), oversee relations with, and monitor the performance of, custodians, depositories, transfer and pricing agents, accountants, attorneys, underwriters, brokers and dealers, insurers and other persons in any capacity deemed to be necessary and desirable by the Trustees; 5. provide certain internal clerical and legal services, and stationery and office supplies; 6. provide or oversee the provision of accounting services, including: a) determining (with the operations assistance of Life & Annuity the Fund's advisor and/or sub-advisor as necessary) and arranging for the Funds: (a) track authorized vs. issued sharespublication of the net asset value of the Fund; (b) furnish statistical and research datapreparing financial information for presentation to the Trustees; (c) coordinate (or assist in) preparing and monitoring the preparation and filing with the U.S. Securities and Exchange Commission of registration statements, notices, reportsTrust's annual expense budget, and other material required to be filed under applicable lawsestablishing daily accruals; (d) coordinate (or assist in) the preparation of reports and other information materials regarding the Funds including proxies and other shareholder communications, and review prospectuses; (e) prepare expense table information for annual updates; (f) provide legal and regulatory advice to the Funds in connection with its other administrative functions; (g) provide office facilities and clerical support for the Funds; (h) develop and implement procedures for monitoring compliance with regulatory requirements and compliance with the Funds' investment objectives, policies and restrictions; (i) provide liaison with the Funds' independent auditors; (j) prepare and file tax returns; (k) review payments coordinating payment of Fund expenses; (le) prepare expense budgeting and accrualscalculating periodic dividend rates to be declared in accordance with guidelines; f) calculating total return information as described in the current prospectus and statement of additional information (m) provide communication, coordination, and supervision services with regard to the Funds' transfer agent, custodian, fund accountant, co- administrator, and other service organizations that render recordkeeping or shareholder communication services"Registration Statement"); (ng) provide information responding to the Funds' distributor concerning fund performance and administrationregulatory audits; (o) assist Life & Annuity in 7. provide non-investment related statistical and research data and such other reports, evaluations and information as the development of additional investment portfoliosFund may request from time to time; (p) provide reports to 8. monitor the Funds' board of trustees regarding its activities; (q) assist in Fund's compliance with the preparation and assembly of meeting materials, including comparable fee information, as required, for the Funds' board of trustees; and (r) provide any other administrative services reasonably necessary for the operation of the Funds other than those services that are to be provided by Xxxxxxxx pursuant to its Co-Administration Agreement with Life & Annuity and Xxxxx Fargo, and by Life & Annuity's transfer and dividend disbursing agent, custodian, and fund accountant, provided that nothing in this Agreement shall be deemed to require Xxxxx Fargo to provide any services that may not be provided by it under applicable banking laws and regulations. In performing all services under this agreement, Xxxxx Fargo shall: (a) act in conformity with Life & Annuity's Declaration of Trust and By-Lawscurrent Registration Statement, the 1940 Act, the Internal Revenue Code and any other applicable laws as may be amended from time and regulations; 9. prepare, to time; the extent requested by the Fund and Life & Annuityat the Fund's expense, registration statement under statements, proxy statements and annual and semi-annual reports to shareholders; 10. arrange for the Securities Act printing and mailing (at the Fund's expense) of 1933 prospectuses, proxy statements and the 1940 Act, as may be amended from time to time; (b) consult and coordinate with legal counsel to Life & Annuity as necessary and appropriate; and (c) advise and report to Life & Annuity and its legal counsel, as necessary and appropriate, with respect to any compliance other reports or other matters that come materials provided to its attention. In connection with its duties under this Paragraph 3, Xxxxx Fargo may, at its own expense, enter into sub-administration agreements with other service providers, provided that each such service provider agrees with Xxxxx Fargo to comply with all relevant provisions of the 1940 Act, the Investment Advisers Act of 1940, any other applicable laws as may be amended from time to time, and all relevant rules thereunder. Xxxxx Fargo will provide Life & Annuity with a copy of each sub-administration agreement it executes relating to Life & Annuity. Xxxxx Fargo will be liable for acts or omissions of any such sub-administrators under the standards of care described herein under Paragraph 5. In performing its services under this agreement, Xxxxx Fargo shall cooperate and coordinate with Xxxxxxxx as necessary and appropriate and shall provide such information to Xxxxxxxx as is reasonably necessary or appropriate for Xxxxxxxx to perform its obligations to Life & Annuity.Fund's shareholders;

Duties as Administrator. Xxxxx Fargo Funds Management shall, at its expense, provide ----------------------- the following administrative services in connection with the operations of Life & Annuity and the FundsTrust: (a) track authorized vs. issued sharescoordinate with and supervise the Trust’s transfer agent; (b) receive and tabulate shareholder votes; (c) furnish statistical and research data; (cd) coordinate (or assist in) the preparation and filing with the U.S. Securities and Exchange Commission (“SEC”) of registration statements, notices, shareholder reports, and other material required to be filed under applicable laws; (e) prepare and file with the states registration statements, notices, reports, and other material required to be filed under applicable laws; (df) prepare and file Forms N-SAR and N-CSR; (g) review bills submitted to the Trust and, upon determining that a xxxx is appropriate, instruct the Trust’s custodian to pay such bills; (h) coordinate (or assist in) the preparation of reports and other information materials regarding the Funds Trust including proxies and other shareholder communications, and review prospectuses; (e) prepare expense table information for annual updates; (fi) provide legal and regulatory advice to the Funds Trust in connection with its other administrative functions, including assignment of matters to outside legal counsel on behalf of the Trust and supervising the work of such counsel; (gj) provide office facilities and clerical support for the FundsTrust; (hk) develop and implement procedures for monitoring compliance with regulatory requirements and compliance with the Funds' Trust’s investment objectives, policies and restrictions; (il) provide serve as liaison with between the Funds' Trust and its independent auditors; (jm) prepare and file tax returns; (kn) review payments of Fund Trust expenses; (lo) prepare expense budgeting and accruals; (mp) provide communication, coordination, and supervision services with regard to the Funds' Trust’s transfer agent, custodian, fund accountant, co- administratorany co-administrators, and other service organizations that render recordkeeping or shareholder communication services; (nq) supervise the Trust’s fund accounting agent in the maintenance of the Trust’s general ledger and in the preparation of the Trust’s financial statements, including oversight of expense accruals and payments and the determination of the net asset value of the Trust’s assets and of the Trust’s shares, and of the declaration and payment of dividends and other distributions to shareholders; (r) provide information to the Funds' Trust’s distributor concerning fund performance and administration; (os) assist Life & Annuity in recommend, supervise and conduct repurchase or tender offers for the development of additional investment portfoliosTrust’s shares; (pt) monitor any variance between the market value and net asset value per share, and periodically report to the Trust’s board of trustees with respect thereto; (u) provide reports to the Funds' Trust’s board of trustees regarding its activities; (qv) assist in the preparation and assembly of meeting materials, including comparable fee information, as required, for the Funds' Trust’s board of trustees; (w) prepare and file an application for listing the Trust’s shares on the NYSE Amex Exchange, and prepare and file any other documents required to be filed with such exchange or any other exchange on which the Trust’s shares are listed or traded; and (rx) provide any other administrative services reasonably necessary for the operation of the Funds Trust other than those services that are to be provided by Xxxxxxxx pursuant to its Co-Administration Agreement with Life & Annuity and Xxxxx Fargo, and by Life & Annuity's transfer and the Trust’s dividend disbursing agent, custodian, and fund accountant, provided that nothing in this Agreement shall be deemed to require Xxxxx Fargo Funds Management to provide any services that may not be provided by it under applicable banking laws and regulations. In performing all services under this agreementAgreement, Xxxxx Fargo Funds Management shall: (a) act in conformity with Life & Annuity's the Trust’s Amended and Restated Agreement and Declaration of Trust (and By-Laws, if any), the 1940 Act, and any other applicable laws as may be amended from time to time; , and Life & Annuity's all relevant rules thereunder, and with the Trust’s registration statement under the Securities Act of 1933 and the 1940 Act, as may be amended from time to time; (b) consult and coordinate with legal counsel to Life & Annuity the Trust as necessary and appropriate; and (c) advise and report to Life & Annuity the Trust and its legal counsel, as necessary and appropriate, with respect to any compliance or other matters that come to its attention. In connection with its duties under this Paragraph 3Paragraph, Xxxxx Fargo Funds Management may, at its own expense, enter into sub-administration agreements with other service providers, provided that each such service provider agrees with Xxxxx Fargo Funds Management to comply with this Agreement and all relevant provisions of the 1940 Act, the Investment Advisers Act of 1940, any other applicable laws as may be amended from time to time, and all relevant rules thereunder. Xxxxx Fargo Funds Management will provide Life & Annuity the Trust with a copy of each sub-administration agreement it executes relating to Life & Annuitythe Trust. Xxxxx Fargo Funds Management will be liable for acts or omissions of any such sub-administrators under the standards of care described herein under Paragraph 5.
