Duties of Nominee Directors. (a) To the maximum extent permitted by law and notwithstanding any other provision of this Agreement, each Nominee Director has the right to have regard to and act in the interests of the person who appointed them and, in exercising this right, the Nominee Director will not be considered to have taken any action which is inconsistent with the Nominee Director’s duties under statute or general law provided an honest and reasonable director could form the view that the Nominee Director was acting in the best interests of the Company.
