Duties of Producer. 2.1 Producer will promptly forward to BSR, Inc. all applications, inspection reports and other information necessary for underwriting decisions regarding new policies and renewal policies. 2.2 Producer will keep complete records and accounts of all transactions pertaining to insurance written under this agreement and make these records available to BSR, Inc. for examination purposes upon request at any reasonable time during business hours. 2.3 Producer agrees to promptly contact BSR, Inc. in writing and forward all pertinent details in the event the Producer receives any loss notification pertaining to policies written under this agreement. Producer agrees to promptly furnish to BSR, Inc. copies of all such notices and correspondence relating thereto. 2.4 Producer will obtain and keep all state and local licenses required in the states and for the lines of coverage in which it desires to write business, to perform the duties and obligations under this agreement. 2.5 Producer will pay all expenses with respect to performance of Producers duties under this agreement, including but not limited to rentals, transportation, clerical expense, postage, advertising, exchange fees or personal and local license fees. 2.6 It is expressly understood any application forms or other supplies furnished to Producer by BSR, Inc. will remain BSR, Inc. property and shall be returned to BSR, Inc. in the event this agreement is violated or terminated. 2.7 Solicitation of renewal policies shall be the responsibility of Producer. Producer understands and agrees that policies will not be automatically renewed upon expiration. 2.8 Producer agrees to review all binders, policies, and endorsements upon receipt and promptly notify BSR, Inc. of any variance from coverage or terms requested. 2.9 Producer agrees to and shall maintain during the term of this agreement Errors and Omissions insurance coverage with a limit of liability of not less than $1,000,000 per claim. The Producer shall furnish BSR, Inc. evidence of such coverage and its continued renewal.

(c) Producer shall at all expenses times have designated to Gold one or more employees of Producer who shall have authority to act for and on behalf of Producer under this Agreement, including for purposes of accepting Purchase Orders (each, a “Producer Representative”). Producer may change the identity of any Producer Representative at any time, but no change shall be effective with respect to performance Gold unless and until Gold has received written notice of Producers duties under such change. Any action taken by a Producer Representative shall bind Producer and may be relied upon, and acted on, by Gold without inquiry to, or confirmation from, Producer or any other Producer Representative. (e) Producer shall furnish BSRallocate Producer’s production of distiller’s grains among dried distiller’s grains, Inc. evidence wet distiller’s grains and modified wet distiller’s grains as necessary to comply with Accepted Purchase Orders and Gold’s related loading schedules. (f) Producer shall perform its duties and obligations under this Agreement in a commercially reasonable manner and in compliance in all material respects with all governmental laws, rules and regulations which are applicable to Producer’s duties and obligations under this Agreement. (g) Producer shall promptly advise Gold of such coverage any material problems with respect to any Distiller’s Grains. (h) Producer shall promptly advise Gold of any matter regarding any Distiller’s Grains which raises an issue of compliance of the Distiller’s Grains with applicable governmental laws, rules or regulations or industry standards. (i) Producer shall obtain and continuously maintain in effect any and all governmental or other consents, approvals, authorizations, registrations, licenses or permits which are necessary or appropriate for Producer to fully and timely perform all of its continued renewalduties and obligations under this Agreement, including any state feed inspection tax and all other state licenses, permits or other approvals which are necessary or appropriate to market and sell the Distiller’s Grains.

(h) Producer shall obtain and continuously maintain in effect any and all governmental or other consents, approvals, authorizations, registrations, licenses or permits which are necessary or appropriate for Producer to fully and timely perform all of its continued renewalduties and obligations under this Agreement, including any state feed inspection tax and all other state licenses, permits or other approvals which are necessary or appropriate to market and sell the Distiller's Grains. (i) All Distiller's Grains shall be delivered and sold to Gold by Producer free and clear of all liens, restrictions on transferability, reservations, security interests, financing statements, licenses, mortgages, tax liens, charges, contracts of sale, mechanics' and statutory liens and all other liens, claims, demands, restrictions or encumbrances whatsoever.

Duties of Producer. 2.1 a. Producer will promptly forward shall service (i) certain of Producer’s existing medical and ancillary insurance clients as may be agreed upon from time to BSRtime, Inc. and (ii) future medical and ancillary insurance clients generated by Producer after the Effective Date which the parties mutually determine on an ongoing basis as amended from time to time, the “Book”. Xxxxxx shall code each client comprising the Book with Producer’s broker code in Xxxxxx’x records. b. No understandings, agreements or communications by Producer with customers or prospective customers shall be binding on Xxxxxx or the insurance companies for which Xxxxxx produces insurance unless in writing. Producer acknowledges its duty to fully inform all applicationsclients of the terms, inspection reports conditions, exclusions and other information necessary limitations of any insurance placed or serviced through Xxxxxx using only pre-approved materials and information. Producer further acknowledges its responsibilities to request proper coverage for underwriting decisions regarding new clients, review all quotes, policies and renewal policiesbinders for accuracy and keep the Book and each of the Xxxxxx Clients fully informed. 2.2 x. Xxxxxx is party to a certain Master Broker and Services Agreement with Horizon Healthcare Services, Inc., d/b/a Horizon Blue Cross Blue Shield of New Jersey (“Horizon BCBSNJ”), whereby Xxxxxx provides insurance brokerage services to Horizon BCBSNJ (such agreement, as the same shall be amended from time to time, the “Horizon BCBSNJ Agreement”). A copy of excerpted terms and conditions of the Horizon BCBSNJ Agreement is attached hereto and incorporated herein as Exhibit A, which may be amended from time to time by Xxxxxx (the “Horizon BCBSNJ Terms and Conditions”). Producer will keep complete records hereby acknowledges and accounts agrees to be bound to Xxxxxx not only by the terms of this Agreement, but also by the Horizon BCBSNJ Terms and Conditions and to assume toward Xxxxxx all transactions pertaining of the obligations and responsibilities that Xxxxxx by the Horizon BCBSNJ Agreement assumes towards Horizon BCBSNJ, insofar as the same may be applicable to insurance written the duties of Producer under this agreement Agreement. Certain capitalized terms used herein but not defined herein shall have the meanings given to such terms in the Horizon BCBSNJ Terms and make these records available to BSR, Inc. for examination purposes upon request at any reasonable time during business hoursConditions. 2.3 Producer agrees d.
