Common use of Duties of the Calculation Agent Clause in Contracts

Duties of the Calculation Agent. The Calculation Agent shall, in such capacity, be obligated only to perform such duties as are specifically set forth in the terms of the Notes or in these base provisions, and no other duties or obligations on the part of the Calculation Agent, in its capacity as Calculation Agent, shall be implied by the relevant Terms Agreement.

Duties of the Calculation Agent. For the avoidance of doubt, the Calculation Agent shall not be responsible to the Issuer, Holders or any third party as a result of the Calculation AgentAgent having relied upon any quotation, in its capacity as Calculation Agent, shall ratio or other information provided to it by any Reset Reference Banks which subsequently may be implied by the relevant Terms Agreementfound to be incorrect.

In acting under the Indenture, the Calculation Agent (in its capacity as such) assumes no obligation towards, or any relationship of agency or trust for or with, the holders of the Notes.
