Common use of Duties of the Secretary Clause in Contracts

Duties of the Secretary. The Secretary (the “Secretary”) shall act as secretary of all meetings of the Board and all meetings of the Members. In the absence of the Secretary, the presiding Officer of the meeting shall appoint any other person to act as secretary of the meeting. The Secretary shall have all other authority provided in this Agreement and as otherwise determined by the Board.
