Duties of the Sub-Adviser. (a) The Sub-Adviser shall make decisions with respect to all purchases and sales of securities and other investment assets for the Funds. To carry out such decisions, the Sub-Adviser is hereby authorized, as agent and attorney-in-fact for the Trust, for the account of, at the risk of and in the name of the Trust, to place orders and issue instructions with respect to those transactions of the Funds. In all purchases, sales and other transactions in securities for the Funds, the Sub-Adviser is authorized to exercise full discretion and act for the Trust in the same manner and with the same force and effect as the Trust might or could do with respect to such purchases, sales or other transactions, as well as with respect to all other things necessary or incidental to the furtherance or conduct of such purchases, sales or other transactions. (b) The Sub-Adviser will report to the Board at each regular meeting thereof all material changes in the Funds since the prior report, and will also keep the Board informed of important developments affecting the Trust, the Funds and the Sub-Adviser, and on its own initiative will furnish the Board from time to time with such information as the Sub-Adviser may believe appropriate, whether concerning the individual companies whose securities are held by a Fund, the industries in which they engage, or the economic, social or political conditions prevailing in each country in which the Fund maintains investments. The Sub-Adviser will also furnish the Board with such statistical and analytical information with respect to securities in the Funds as the Sub-Adviser may believe appropriate or as the Board reasonably may request. In making purchases and sales of securities for the Funds, the Sub-Adviser will comply with the policies set from time to time by the Board as well as the limitations imposed by the Trust's Declaration of Trust, as amended from time to time, By-Laws (if any), Registration Statement under the Act and the Securities Act, the limitations in the Act and in the Internal Revenue Code of 1986, as amended applicable to the Trust and the investment objectives, policies and restrictions of the Funds. (c) The Sub-Adviser may from time to time employ or associate with such persons as the Sub-Adviser believes to be appropriate or necessary to assist in the execution of the Sub-Adviser's duties hereunder, the cost of performance of such duties to be borne and paid by the Sub-Adviser. No obligation may be imposed on the Trust in any such respect. (d) The Sub-Adviser shall maintain records relating to portfolio transactions and the placing and allocation of brokerage orders as are required to be maintained by the Trust under the Act. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. The Trust, or the Trust's authorized representatives (including the Adviser), shall have access to such books and records at all times during the Sub-Adviser's normal business hours. (e) Nothing contained herein shall be deemed to authorize the Sub-Adviser to take or receive physical possession of any cash or securities held in the Fund by the Trust, it being intended that sole responsibility for safekeeping thereof (in such investments as the Sub-Adviser may direct) and the consummation of all such purchases, sales, deliveries and investments made pursuant to Sub-Adviser's direction shall rest upon the Trust. The Trust and the Adviser shall not hold the Sub-Adviser responsible for any loss incurred by reason of any act or omission of the Trust, and shall hold Sub-Adviser harmless from any and all such loss, damage, or liability from such act or omission.

Duties of the Sub-Adviser. (a) The Sub-Adviser shall make decisions with respect to all purchases and sales of securities and other investment assets for the Funds. To carry out such decisions, the Sub-Adviser is hereby authorized, as agent and attorney-in-fact for the Trust, for the account of, at the risk of and in the name of the Trust, to place orders and issue instructions with respect to those transactions of the Funds. In all purchases, sales and other transactions in securities and other assets for the Funds, the Sub-Adviser is authorized to exercise full discretion and act for the Trust and instruct the Fund's custodian (the "Custodian") in the same manner and with the same force and effect as the Trust might or could do with respect to such purchases, sales or other transactions, as well as with respect to all other things necessary or incidental to the furtherance or conduct of such purchases, sales or other transactions. The Sub-Adviser acknowledges that the Wells Fargo Funds may engage ix xxxnsactions with certain sub-advisers in the fund complex (and their affiliated persons) in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of a fund in the fund complex, or an affiliated person of a sub-adviser, concerning transactions for a fund in securities or other fund assets. With respect to a multi-managed Fund, the Sub-Adviser shall be limited to providing investment advice with respect to only the discrete portion of the Fund's portfolio as may be determined from time-to-time by the Board or the Adviser, and shall not consult with the sub-adviser as to any other portion of the Fund's portfolio concerning transactions for the Fund in securities or other Fund assets.
(b) The Sub-Adviser will report to the Board at each regular meeting thereof all material changes in the Funds since the prior report, and will also keep the Board informed of on important developments affecting the Trust, the Funds and the Sub-Adviser, and on its own initiative will furnish the Board and the Adviser from time to time with such information as the Sub-Adviser may believe appropriate, whether concerning the individual companies whose securities are held by a Fund, the industries in which they engage, or the economic, social or political conditions prevailing in each country in which the Fund maintains investments. The Sub-Adviser will also furnish the Board and the Adviser with such statistical and analytical information with respect to securities in held by the Funds as the Sub-Adviser may believe appropriate or as the Board or the Adviser reasonably may request. In making purchases and sales The Sub-Adviser shall promptly notify the Adviser of securities for the Funds, (i) any changes regarding the Sub-Adviser will comply with the policies set from time to time by the Board as well as the limitations imposed by that would impact disclosure in the Trust's Declaration Registration Statement, or (ii) any violation of Trustany requirement, as amended from time provision, policy or restriction that the Sub-Adviser is required to time, Bycomply with under Section 6 of this Agreement. The Sub-Laws (if any), Registration Statement under Adviser shall immediately notify both the Act Adviser and the Securities ActTrust of any legal process served upon it in connection with its activities hereunder, including any legal process served upon it on behalf of the Adviser, the limitations Funds or the Trust. The Sub-Adviser shall reasonably cooperate with the Custodian in the Act and in the Internal Revenue Code Custodian's processing of 1986, as amended applicable class actions or other legal proceedings relating to the Trust and the investment objectives, policies and restrictions holdings (historical and/or current) of the Funds.
(c) The Sub-Adviser may from time to time employ or associate with such sub-contract the services of certain persons as the Sub-Adviser believes to be appropriate or necessary to assist in the execution of the Sub-Adviser's duties hereunder; provided, however, that the employment or association with any such person shall not relieve the Sub-Adviser of its responsibilities or liabilities hereunder. The cost of performance of such duties to shall be borne and paid by the Sub-Adviser. No obligation may be imposed on the Trust in any such respect. The Sub-Adviser shall supervise and monitor the activities of its representatives, personnel and agents in connection with the execution of its duties and obligations hereunder. The appropriate personnel of the Sub-Adviser will be made available to consult with the Adviser, the Trust and the Board at reasonable times and upon reasonable notice concerning the business of the Trust.
(d) The Sub-Adviser shall maintain records relating to portfolio transactions and the placing and allocation of brokerage orders as are required to be maintained by the Trust under the 1940 Act. The Sub-Adviser shall prepare and maintain, or cause to be prepared and maintained, in such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the services provided by the Sub-Adviser pursuant to this Agreement required to be prepared and maintained by the Trust pursuant to the rules and regulations of any national, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. The Trust, or the Trust's authorized representatives (including the Adviser), shall have access to such books and records at all times during the Sub-Adviser's normal business hours. Upon the reasonable request of the Trust, copies of any such books and records shall be provided promptly by the Sub-Adviser to the Trust or the Trust's authorized representatives.

Duties of the Sub-Adviser. (b) Consistent with Section 28(e) of the Securities and Exchange Act of 1934, as amended, the Sub-Adviser may allocate brokerage on behalf of the Fund to broker-dealers who provide brokerage or research services to the Sub-Adviser. The Sub-Adviser may aggregate sales and purchase orders of the assets of the Fund with similar orders being made simultaneously for other accounts advised by the Sub-Adviser or its affiliates. Whenever the Sub-Adviser simultaneously places orders to purchase or sell the same asset on behalf of the Fund and one or more other accounts advised by the Sub-Adviser, the Sub-Adviser will allocate the order as to price and amount among all such accounts in a manner believed to be equitable over time to each account.
(c) The Sub-Adviser will report to the Board at each regular meeting thereof as requested by the Adviser or the Board all material changes in the Funds Fund since the prior report, and will also keep the Board and the Adviser informed of important developments affecting the Trust, the Funds Fund and the Sub-Adviser, and on its own initiative initiative, will furnish the Board from time to time with such information as the Sub-Adviser may believe appropriateappropriate for this purpose, whether concerning the individual companies whose the securities of which are held by a included in the Fund’s holdings, the industries in which they such companies engage, or the economic, social or political conditions prevailing in each country in which the Fund maintains investments, or otherwise; taking into consideration the nature of aspects of Sub-Adviser’s research process. The Sub-Adviser will also furnish the Board and the Adviser with such statistical and analytical information with respect to securities in investments of the Funds Fund as the Sub-Adviser may believe appropriate or as the Board reasonably may request. In making purchases and sales of securities and other investment assets for the FundsFund, the Sub-Adviser will comply with bear in mind the policies and procedures set from time to time by the Board as well as the limitations imposed by the Trust's Declaration of Trust, as amended from time to time, By-Laws (if any), Charter Documents and Registration Statement under the Act and the Securities ActStatement, the limitations in the Act and in 1940 Act, the Securities Act, the Internal Revenue Code of 1986, as amended amended, and other applicable to the Trust laws and the investment objectives, policies and restrictions of the FundsFund.
(cd) The Sub-Adviser may from time to time employ or associate with such persons as the Sub-Adviser believes to be appropriate or necessary particularly fitted to assist in the execution of the Sub-Adviser's ’s duties hereunder, the cost of performance the provision of such duties to be borne and paid by the Sub-Adviser. No obligation may be imposed incurred on the Trust Trust’s or Adviser’s behalf in any such respect.
(de) The Sub-Adviser will report to the Board and the Adviser all material matters related to the Sub-Adviser. On an annual basis, the Sub-Adviser shall report on its compliance with its Code and its compliance policies and procedures to the Adviser and to the Board and upon the written request of the Adviser or the Trust, the Sub-Adviser shall permit the Adviser and the Trust, or their respective representatives to examine the reports required to be made to the Sub-Adviser under the Code and its compliance policies and procedures. The Sub-Adviser will notify the Adviser and the Trust in writing of any change of control of the Sub-Adviser at least 90 days prior to any such changes and any changes in the key personnel who are either the portfolio manager(s) of the Fund or senior management of the Sub-Adviser, as promptly as possible, and, for changes in control, in any event prior to such change.
(f) The Sub-Adviser will maintain records relating to its portfolio transactions and the placing and allocation of brokerage orders as are required to be maintained by the Trust under the 1940 Act. The Sub-Adviser shall prepare and maintain, or cause to be prepared and maintained, in such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the services provided by the Sub-Adviser pursuant to this Agreement required to be prepared and maintained by the Sub-Adviser or the Trust pursuant to applicable law. To the rules and regulations of any nationalextent required by law, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. The Adviser and the Trust, or the Trust's authorized representatives (including the Adviser)their respective representatives, shall have access to such books and records at all times during the Sub-Adviser's ’s normal business hours. Upon the reasonable request of the Adviser or the Trust, copies of any such books and records shall be provided promptly by the Sub-Adviser to the Trust or Adviser and the Trust's authorized , or their respective representatives.
(g) The Sub-Adviser will cooperate with the Fund’s independent public registered accounting firm and shall take reasonable action to make all necessary information available to the accounting firm for the performance of the accounting firm’s duties.
(h) The Sub-Adviser will provide the Fund’s custodian and fund accountant on each business day with such information relating to all transactions concerning the Fund’s assets under the Sub-Adviser’s control as the custodian and fund accountant may reasonably require. In accordance with procedures adopted by the Board, the Sub-Adviser is responsible for assisting in the fair valuation of all Fund assets and will use its reasonable efforts to arrange for the provision of prices from parties who are not affiliated persons of the Sub-Adviser for each asset for which the Fund’s fund accountant does not obtain prices in the ordinary course of business.
(i) The Sub-Adviser shall have no duties or obligations pursuant to this Agreement (other than the continuation of its preexisting duties and obligations) during any period in which the Fund invests all (or substantially all) of its investment assets in a registered, open-end management investment company, or separate series thereof, in accordance with Section 12(d)(1)(E) under the 1940 Act, pursuant to the instruction of the Adviser and of the Trust’s Board of Trustees.
(j) For the purpose of complying with Rule 10f-3, Rule 12d3-1 and Rule 17a-10 under the 1940 Act and any other applicable rule or regulation, the Sub-Adviser will not, with respect to transactions in securities or other assets for the Fund, consult with any other sub-adviser to the relevant Fund or any other series of the Trust.

The Sub-Adviser will also furnish the Board and the Adviser with such statistical and analytical information with respect to securities in the Funds investments of each Fund as the Sub-Adviser may believe appropriate or as the Board reasonably may request. In making purchases and sales of securities and other investment assets for the Fundseach Fund, the Sub-Adviser will comply with bear in mind the policies and procedures set from time to time by the Board as well as the limitations imposed by the Trust's Declaration of Trust, as amended from time to time, By-Laws (if any), Charter Documents and Registration Statement under the Act and the Securities ActStatement, the limitations in the Act and in 1940 Act, the Securities Act, the Internal Revenue Code of 1986, as amended amended, and other applicable to the Trust laws and the investment objectives, policies and restrictions of the Fundsrelevant Fund.
(cd) The Sub-Adviser may from time to time employ or associate with such persons as the Sub-Adviser believes to be appropriate or necessary particularly fitted to assist in the execution of the Sub-Adviser's ’s duties hereunder, the cost of performance the provision of such duties to be borne and paid by the Sub-Adviser. No obligation may be imposed incurred on the Trust Trust’s or Adviser’s behalf in any such respect.
(de) The Sub-Adviser will report to the Board and the Adviser all material matters related to the Sub-Adviser. On an annual basis, the Sub-Adviser shall report on its compliance with its Code and its compliance policies and procedures to the Adviser and to the Board and upon the written request of the Adviser or the Trust, the Sub-Adviser shall permit the Adviser and the Trust, or their respective representatives to examine the reports required to be made to the Sub-Adviser under the Code and its compliance policies and procedures. The Sub-Adviser will notify the Adviser and the Trust in writing of any change of control of the Sub-Adviser at least 90 days prior to any such changes and any changes in the key personnel who are either the portfolio manager(s) of a Fund or senior management of the Sub-Adviser, as promptly as possible, and, for changes in control, in any event prior to such change.
(f) The Sub-Adviser will maintain records relating to its portfolio transactions and the placing and allocation of brokerage orders as are required to be maintained by the Trust under the 1940 Act. The Sub-Adviser shall prepare and maintain, or cause to be prepared and maintained, in such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the services provided by the Sub-Adviser pursuant to this Agreement required to be prepared and maintained by the Sub-Adviser or the Trust pursuant to applicable law. To the rules and regulations of any nationalextent required by law, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. The Adviser and the Trust, or the Trust's authorized representatives (including the Adviser)their respective representatives, shall have access to such books and records at all times during the Sub-Adviser's ’s normal business hours. Upon the reasonable request of the Adviser or the Trust, copies of any such books and records shall be provided promptly by the Sub-Adviser to the Trust or Adviser and the Trust's authorized , or their respective representatives.
(g) The Sub-Adviser will cooperate with each Fund’s independent public registered accounting firm and shall take reasonable action to make all necessary information available to the accounting firm for the performance of the accounting firm’s duties.
(h) The Sub-Adviser will provide each Fund’s custodian and fund accountant on each business day with such information relating to all transactions concerning the relevant Fund’s assets under the Sub-Adviser’s control as the custodian and fund accountant may reasonably require. In accordance with procedures adopted by the Board, the Sub-Adviser is responsible for assisting in the fair valuation of all Fund assets and will use its reasonable efforts to arrange for the provision of prices from parties who are not affiliated persons of the Sub-Adviser for each asset for which a Fund’s fund accountant does not obtain prices in the ordinary course of business.
(i) The Sub-Adviser shall have no duties or obligations pursuant to this Agreement (other than the continuation of its preexisting duties and obligations) during any period in which a Fund invests all (or substantially all) of its investment assets in a registered, open-end management investment company, or separate series thereof, in accordance with Section 12(d)(1)(E) under the 1940 Act, pursuant to the instruction of the Adviser and of the Trust’s Board of Trustees.

In making purchases and sales of securities and other investment assets for the Fundseach Fund, the Sub-Adviser will comply with bear in mind the policies and procedures set from time to time by the Board as well as the limitations imposed by the Trust's Declaration of Trust, as amended from time to time, By-Laws (if any), Charter Documents and Registration Statement under the Act and the Securities ActStatement, the limitations in the Act and in 1940 Act, the Securities Act, the Internal Revenue Code of 1986, as amended amended, and other applicable to the Trust laws and the investment objectives, policies and restrictions of the Fundsrelevant Fund.
(cd) The Sub-Adviser may from time to time employ or associate with such persons as the Sub-Adviser believes to be appropriate or necessary particularly fitted to assist in the execution of the Sub-Adviser's ’s duties hereunder, the cost of performance the provision of such duties to be borne and paid by the Sub-Adviser. No obligation may be imposed incurred on the Trust Trust’s or Adviser’s behalf in any such respect.
(de) The Sub-Adviser will report to the Board and the Adviser all material matters related to the Sub-Adviser. On an annual basis, the Sub-Adviser shall report on its compliance with its Code and its compliance policies and procedures to the Adviser and to the Board and upon the written request of the Adviser or the Trust, the Sub-Adviser shall permit the Adviser and the Trust, or their respective representatives to examine the reports required to be made to the Sub-Adviser under the Code and its compliance policies and procedures. The Sub-Adviser will notify the Adviser and the Trust in writing of any change of control of the Sub-Adviser at least 90 days prior to any such changes and any changes in the key personnel who are either the portfolio manager(s) of a Fund or senior management of the Sub-Adviser, as promptly as possible, and, for changes in control, in any event prior to such change.
(f) The Sub-Adviser will maintain records relating to its portfolio transactions and the placing and allocation of brokerage orders as are required to be maintained by the Trust under the 1940 Act. The Sub-Adviser shall prepare and maintain, or cause to be prepared and maintained, in such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the services provided by the Sub-Adviser pursuant to this Agreement required to be prepared and maintained by the Sub-Adviser or the Trust pursuant to applicable law. To the rules and regulations of any nationalextent required by law, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. The Adviser and the Trust, or the Trust's authorized representatives (including the Adviser)their respective representatives, shall have access to such books and records at all times during the Sub-Adviser's ’s normal business hours. Upon the reasonable request of the Adviser or the Trust, copies of any such books and records shall be provided promptly by the Sub-Adviser to the Trust or Adviser and the Trust's authorized , or their respective representatives.
(g) The Sub-Adviser will cooperate with each Fund’s independent public registered accounting firm and shall take reasonable action to make all necessary information available to the accounting firm for the performance of the accounting firm’s duties.
(h) The Sub-Adviser will provide each Fund’s custodian and fund accountant on each business day with such information relating to all transactions concerning the relevant Fund’s assets under the Sub-Adviser’s control as the custodian and fund accountant may reasonably require. In accordance with procedures adopted by the Board, the Sub-Adviser is responsible for assisting in the fair valuation of all Fund assets and will use its reasonable efforts to arrange for the provision of prices from parties who are not affiliated persons of the Sub-Adviser for each asset for which a Fund’s fund accountant does not obtain prices in the ordinary course of business.
(i) The Sub-Adviser shall have no duties or obligations pursuant to this Agreement (other than the continuation of its preexisting duties and obligations) during any period in which a Fund invests all (or substantially all) of its investment assets in a registered, open-end management investment company, or separate series thereof, in accordance with Section 12(d)(1)(E) under the 1940 Act, pursuant to the instruction of the Adviser and of the Trust’s Board of Trustees.
(j) For the purpose of complying with Rule 10f-3, Rule 12d3-1 and Rule 17a-10 under the 1940 Act and any other applicable rule or regulation, the Sub-Adviser will not, with respect to transactions in securities or other assets for any Fund, consult with any other sub-adviser to the relevant Fund or any other series of the Trust.

The Sub-Adviser will also furnish the Board with such statistical and analytical information with respect to securities in the Funds as the Sub-Adviser may believe appropriate or as the Board reasonably may request. The Sub-Adviser shall prepare and maintain, or cause to be prepared and maintained, in such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the services provided by the Sub-Adviser pursuant to this Agreement required to be prepared and maintained by the Trust pursuant to the rules and regulations of any national, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. The Trust, or the Trust's ’s authorized representatives (including the Adviser), shall have access to such books and records at all times during the Sub-Adviser's ’s normal business hours. In making purchases and sales of securities for the FundsDirectors, the Sub-Adviser will comply manage the securities and other assets of the Portfolio entrusted to it hereunder (the "Assets"), in accordance with the Portfolio's investment objectives, policies set and restrictions as stated in the Portfolio's prospectus and statement of additional information, as amended or supplemented from time to time by the Board as well (referred to collectively as the limitations imposed by "Prospectus"), and subject to the Trust's Declaration following:
a. The Sub-Adviser will, in consultation with and subject to the direction of Trustthe Adviser, as amended determine from time to timetime what Assets will be purchased, Byretained or sold by the Portfolio, and what portion of the Assets will be invested or held uninvested in cash.
b. In the performance of its duties and obligations under this Agreement, the Sub-Laws Adviser will act in conformity with the Fund's Articles of Incorporation (if any), Registration Statement under the Act as defined herein) and the Securities Prospectus and with the instructions and directions of the Adviser and of the Board of Directors of the Fund and will conform to and comply with the requirements of the 1940 Act, the limitations in the Act and in the Internal Revenue Code of 1986, and all other applicable federal and state laws and regulations, as each is amended applicable from time to time.
c. At the Trust and the investment objectives, policies and restrictions direction of the Funds.
Adviser, the Sub-Adviser may place orders with or through such persons, brokers or dealers to carry out the policy with respect to brokerage set forth in the Portfolio's Registration Statement (cas defined herein) and Prospectus or as the Board of Directors or the Adviser may direct from time to time, in conformity with federal securities laws. In executing Portfolio transactions, the Sub-Adviser will use its best efforts to seek on behalf of the Portfolio the best overall terms available. The Sub-Adviser may cause the Portfolio to pay a broker-dealer which provides brokerage and research services, as such services are defined in Section 28(e) of the Securities Exchange Act of 1934, as amended (the "Exchange Act"), a commission for effecting a securities transaction in excess of the amount another broker-dealer would have charged for effecting such transaction, if the Sub-Adviser determines in good faith that such amount of commission is reasonable in relation to the value of brokerage and research services provided by the executing broker-dealer, viewed in terms of either that particular transaction or such broker-dealer's overall responsibilities with respect to the accounts as to which such broker-dealer exercises investment discretion (as defined in Section 3(a)(35) of the Exchange Act). In addition, the Sub-Adviser may, at the direction of the Adviser, allocate purchase and sale orders for securities to brokers or dealers (including brokers and dealers that are affiliated with the Adviser, Sub-Adviser or the Fund's principal underwriter) to take into account the sale of shares of the Fund if the Sub-Adviser believes that the quality of the transaction and the commission are comparable to what they would be with other qualified firms. In no instance, however, will the Assets be purchased from or sold to the Adviser, Sub-Adviser, the Fund's principal underwriter, or any affiliated person of either the Fund, Adviser, the Sub-Adviser or the principal underwriter, acting as principal in the transaction, except to the extent permitted by the Securities and Exchange Commission ("SEC") and the 1940 Xxx.
d. The Sub-Adviser will provide the Adviser with such investment portfolio accounting and will maintain and provide such detailed records and reports relating to the activities of the Sub-Adviser as the Adviser may from time to time employ or associate with such persons as reasonably request, including daily processing of investment transactions and periodic valuations of investment portfolio positions conducted by the Sub-Adviser believes and preparation of such reports and compilation of such data as may be required by the Adviser to comply with the obligations imposed upon it under the Management Agreement. The Adviser acknowledges and agrees that such accounts and records may be appropriate maintained by a third-party service provider on behalf of the Fund and the Sub-Adviser. The Sub-Adviser will provide to the Adviser or necessary the Board of Directors such periodic and special reports, balance sheets or financial information, and such other information with regard to assist in its affairs as the execution Adviser or Board of Directors may reasonably request. The Sub-Adviser will timely furnish to the Adviser all information relating to the Sub-Adviser's duties hereunder, the cost of performance of such duties to be borne and paid services under this Agreement needed by the Sub-AdviserAdviser to keep the books and records of the Portfolio required by Rule 31a-1 under the 1940 Act. No obligation may be imposed on the Trust in any such respect.
(d) The Sub-Adviser shall maintain agrees that all records relating to portfolio transactions that it maintains on behalf of the Portfolio are property of the Portfolio and the placing and allocation Sub-Adviser will surrender promptly to the Portfolio any of brokerage orders such records upon the Portfolio's request; provided, however, that the Sub-Adviser may retain a copy of such records. In addition, for the duration of this Agreement, the Sub-Adviser will preserve for the periods prescribed by Rule 31a-2 under the 1940 Act any such records as are required to be maintained by it pursuant to this Agreement, and will transfer said records to any successor sub-adviser upon the Trust under termination of this Agreement (or, if there is no successor sub-adviser, to the Act. e. On each business day on which there is a transaction by the Sub-Adviser shall prepare concerning the Assets, the Sub-Adviser will provide the Portfolio's custodian and maintain, or cause to be prepared and maintained, in the Adviser with a report detailing such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the transactions.
f. The investment management services provided by the Sub-Adviser pursuant to under this Agreement required are not to be prepared deemed exclusive and maintained by the Trust pursuant to the rules and regulations of any national, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall will be free to render similar services to others, as long as such services do not impair the property of services rendered to the Trust. Duties of the Sub-Adviser. (a) The Sub-Adviser shall make decisions with respect to all purchases and sales of securities and other investment assets for the Funds. The Sub-Adviser will also furnish the Board with such statistical and analytical information with respect to securities in the Funds as the Sub-Adviser may believe appropriate or as the Board reasonably may request. In making purchases and sales of securities for the Funds, the Sub-Adviser will comply with the policies set from time to time by the Board as well as the limitations imposed by the Trust's Declaration of Trust, as amended or supplemented from time to time, By-Laws (if any), Registration Statement under the Act and the Securities Act, the limitations in the Act and in the Internal Revenue Code of 1986, as amended applicable to the Trust and the investment objectives, policies and restrictions of the Funds.

No obligation may be imposed on the Trust in any such respect.
(d) The Sub-Adviser shall maintain records relating to portfolio transactions and the placing and allocation of brokerage orders as are required to be maintained by the Trust under the Act. The Sub-Adviser shall prepare and maintain, or cause to be prepared and maintained, in such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the services provided by the Sub-Adviser pursuant to this Agreement required to be prepared and maintained by the Trust dc-152173 2 pursuant to the rules and regulations of any national, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. In making purchases and sales of securities for the FundsPortfolio, the Sub-Adviser will comply with bear in mind the policies set from time to time by the Board as well as the limitations imposed by the Trust's Declaration Certificate of Trust, as amended from time to timeTrust Instrument, By-Laws (if any)Bylaws, Registration Statement under the Act and the Securities Act, the limitations in the Act and in the Internal Revenue Code of 1986, as amended applicable to the Trust in respect of regulated investment companies and the investment objectives, policies and restrictions of the FundsPortfolio.
(c) The Sub-Adviser may will from time to time employ or associate with such persons as the Sub-Adviser believes to be appropriate or necessary particularly fitted to assist in the execution of the Sub-Adviser's duties hereunder, the cost of performance of such duties to be borne and paid by the Sub-Adviser. No obligation may be imposed incurred on the Trust Trust's behalf in any such respect.
(d) The Sub-Adviser shall maintain records relating to portfolio Portfolio transactions and the placing and allocation of brokerage orders as are required to be maintained by the Trust under the Act. The Sub-Adviser shall prepare and maintain, or cause to be prepared and maintained, in such form, for such periods and in such locations as may be required by applicable law, all documents and records relating to the services provided by the Sub-Adviser pursuant to this Agreement required to be prepared and maintained by the Trust pursuant to the rules and regulations of any national, state, or local government entity with jurisdiction over the Trust, including the Securities and Exchange Commission and the Internal Revenue Service. The books and records pertaining to the Trust which are in possession of the Sub-Adviser shall be the property of the Trust. The Trust, or the Trust's authorized representatives (including the Adviser)representatives, shall have access to such books and records at all times during the Sub-Adviser's normal business hours. Upon the reasonable request of the Trust, copies of any such books and records shall be provided promptly by the Sub-Adviser to the Trust or the Trust's authorized representatives.

Duties of the Sub-Adviser. (a) The Sub-Adviser shall make decisions with respect to all purchases and sales of securities and other investment assets for the Funds. To carry out such decisions, the Sub-Adviser is hereby authorized, as agent and attorney-in-fact for the Trust, for the account of, at the risk of and in the name of the Trust, to place orders and issue instructions with respect to those transactions of the Funds. In all purchases, sales and other transactions in securities for the Funds, the Sub-Adviser is authorized to exercise full discretion and act for the Trust in the same manner and with the same force and effect as the Trust might or could do with respect to such purchases, sales or other transactions, as well as with respect to all other things necessary or incidental to the furtherance or conduct of such purchases, sales or other transactions.
(b) The Sub-Adviser will report to the Board at each regular meeting thereof all material changes in the Funds since the prior report, and will also keep the Board informed of important developments affecting the Trust, the Funds and the Sub-Adviser, and on its own initiative will furnish the Board from time to time with such information as the Sub-Adviser may believe appropriate, whether concerning the individual companies whose securities are held by a Fund, the industries in which they engage, or the economic, social or political conditions prevailing in each country in which the Fund maintains investments. The Sub-Adviser will also furnish the Board with such statistical and analytical information with respect to securities in the Funds as the Sub-Adviser may believe appropriate or as the Board reasonably may request. (e) Nothing contained herein shall be deemed to authorize the Sub-Adviser to take or receive physical possession of any cash or securities held in the Fund by the Trust, it being intended that sole responsibility for safekeeping thereof (in such investments as the Sub-Adviser may direct) and the consummation of all such purchases, sales, deliveries and investments made pursuant to Sub- Adviser's direction shall rest upon the Trust. The Trust and the Adviser shall not hold the Sub-Adviser responsible for any loss incurred by reason of any act or omission of the Trust, and shall hold Sub-Adviser harmless from any and all such loss, damage, or liability from such act or omission.
