Common use of Duties with Respect to the Indenture Clause in Contracts

Duties with Respect to the Indenture. The Master Servicer shall perform all its duties and the duties of the Issuer under the Indenture. In addition, the Master Servicer shall consult with the Owner Trustee as the Master Servicer deems appropriate regarding the duties of the Issuer under the Indenture. The Master Servicer shall monitor the performance of the Issuer and shall advise the Owner Trustee when action is necessary to comply with the Issuer's duties under the Indenture. The Master Servicer shall prepare for execution by the Issuer or shall cause the preparation by other appropriate Persons of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuer to prepare, file or deliver pursuant to the Indenture. In furtherance of the foregoing, the Master Servicer shall take all necessary action that is the duty of the Issuer to take pursuant to the Indenture.

In addition, the Master Servicer Administrator shall consult with the Owner Trustee as the Master Servicer Administrator deems appropriate regarding the duties of the Issuer Issuing Entity under the Indenture. The Master Servicer Administrator shall monitor the performance of the Issuer Issuing Entity and shall advise the Owner Trustee when action is necessary to comply with the Issuer's Issuing Entity’s duties under the Indenture. The Master Servicer Administrator shall prepare for execution by the Issuer Issuing Entity or shall cause the preparation by other appropriate Persons of all such documents, reports, filings, instruments, certificates Notes and opinions as it shall be the duty of the Issuer Issuing Entity to prepare, file or deliver pursuant to the Indenture. In furtherance of the foregoing, the Master Servicer Administrator shall take all necessary action that is the duty of the Issuer Issuing Entity to take pursuant to the Indenture.

Duties with Respect to the Indenture. The Master Servicer as administrator (the "Administrator") shall perform all its duties and the duties of the Issuer under the Indenture. In addition, the Master Servicer Administrator shall consult with the Owner Trustee as the Master Servicer Administrator deems appropriate regarding the duties of the Issuer under the Indenture. The Master Servicer Administrator shall monitor the performance of the Issuer and shall advise the Owner Trustee when action is necessary to comply with the Issuer's duties under the Indenture. The Master Servicer Administrator shall prepare for execution by the Issuer or shall cause the preparation by other appropriate Persons of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuer to prepare, file or deliver pursuant to the Indenture. Duties with Respect to the Indenture. The Master Servicer Originator (in such capacity, the “Administrator”) shall perform all its duties and the duties of the Issuer under the Indenture. In addition, the Master Servicer Administrator shall consult with the Owner Trustee as the Master Servicer Administrator deems appropriate regarding the duties of the Issuer under the Indenture. The Master Servicer Administrator shall monitor the performance of the Issuer and shall advise the Owner Trustee when action is necessary to comply with the Issuer's ’s duties under the Indenture. The Master Servicer Administrator shall prepare for execution by the Issuer or shall cause the preparation by other appropriate Persons of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuer to prepare, file or deliver pursuant to the Indenture. In furtherance of the foregoing, the Master Servicer Administrator shall take all necessary action that is the duty of the Issuer to take pursuant to the Indenture.

Duties with Respect to the Indenture. The Master Servicer shall perform all its duties and the duties of the Issuer under the IndentureBasic Documents. In addition, the Master Servicer shall consult with the Owner Trustee as the Master Servicer deems appropriate regarding the duties of the Issuer under the IndentureBasic Documents. The Master Servicer shall monitor the performance of the Issuer and shall advise the Owner Trustee when action is necessary to comply with the Issuer's duties under the IndentureBasic Documents. The Master Servicer shall prepare for execution by the Issuer or shall cause the preparation by other appropriate Persons of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuer to prepare, file or deliver pursuant to the Indenture. In furtherance of the foregoing, the Master Servicer shall take all necessary action that is the duty of the Issuer to take pursuant to the IndentureBasic Documents. In connection with the foregoing, the Servicer shall be deemed an agent of the Issuer, authorized to act (including with respect to the execution of documents) on its behalf.

Duties with Respect to the Indenture. The Master Servicer shall perform all its duties and and, as agent for the Issuer, the duties of the Issuer under the Indenture. In addition, the Master Servicer shall consult with the Owner Trustee as the Master Servicer deems appropriate regarding the duties of the Issuer under the Indenture. The Master Servicer shall monitor the performance of the Issuer and shall advise the Owner Trustee when action is necessary to comply with the Issuer's duties under the Indenture. The Master Servicer shall prepare for execution by the Issuer or shall cause the preparation by other appropriate Persons for execution by the Issuer of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuer to prepare, file or deliver pursuant to the Indenture. In furtherance of the foregoing, the Master Servicer Servicer, as agent for the Issuer, shall take all necessary action that is the duty of the Issuer to take pursuant to the Indenture.

Duties with Respect to the Indenture. The Master Issuer hereby appoints the Servicer shall to act, and the Servicer hereby agrees to act, as an administrative agent of the Issuer to perform all its duties and of the administrative duties of the Issuer under the Indenture. In addition, the Master Servicer shall consult with the Owner Trustee as the Master Servicer deems appropriate regarding the administrative duties of the Issuer under the Indenture. The Master Servicer shall monitor the performance of the Issuer and shall advise the Owner Trustee when action is necessary to comply with the Issuer's administrative duties under the Indenture. The Master Servicer shall prepare for execution by the Issuer or shall cause the preparation by other appropriate Persons of all such documents, accounting and other reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuer to prepare, file or deliver pursuant to the Indenture. In furtherance of the foregoing, the Master Servicer shall take all necessary action that it is the administrative duty of the Issuer to take pursuant to the Indenture.
