Duty Chief. ‌ 1. In the event the Battalion Chief eligibility list has been exhausted or has less than three (3) candidates, the parties agree to one additional four (4) month appointment per vacancy. 8.1 The duties of Battalion Chiefs and Division Chiefs include acting as Duty Chief. The Duty Chief is responsible for managing resources in the VFD service area during times of unusual operational situations, examples include: weather events, known upcoming events, emergency operations that require on duty resources to be depleted etc. The Duty Chief should activate the Department Operations Center (DOC) and staff appropriately to ensure response coverage is managed appropriately during the event. 8.2 Battalion Chiefs (on Shift or Administrative assignment) and Division Chiefs shall assume the responsibilities as the “on-call” Duty Chief on a rotating basis. 8.3 Should the Battalion or Division Chief serving as a Duty Chief deem it appropriate to respond, or a Battalion or Division Chief is called back by a Chief Officer, they will be compensated at the overtime rate of one and one-half times (1 ½ ) the assigned base pay for the duration of that response. 8.4 Battalion and Division Chief’s performing the on-call Duty Chief function will receive pager pay equal to one (1) hour of the top step Battalion Chief (w/20+ years) overtime rate for the 24-hour period. The on-call Duty Chief shall be provided access to a code 3 compliant vehicle that supports the duties of the Duty Chief. The vehicle will not leave Xxxxx County, except as approved by the Chief or designee.

Duty Chief. EJFR agrees to provide Duty Chief services to PLFR with properly trained employees for incident command at major incidents occurring within PLFR during the term of this Agreement on the same basis as such services are rendered within EJFR but EJFR assumes no liability for failure to do so by reason of any circumstances beyond its control. In the event of simultaneous calls within EJFR’s service area and PLFR’s service area whereby EJFR’s Duty Chiefs are unable to render equal protection, the officers and agents of EJFR shall have discretion as to which call shall be answered first.

  • Certificate of Chief Financial Officer On the date of this Agreement and on the Closing Date or the Additional Closing Date, as the case may be, the Company shall have furnished to the Representatives a certificate, dated the respective dates of delivery thereof and addressed to the Underwriters, of its chief financial officer with respect to certain financial data contained in the Pricing Disclosure Package and the Prospectus, providing “management comfort” with respect to such information, in form and substance reasonably satisfactory to the Representatives.

  • Chief Compliance Officer The Chief Compliance Officer of the Trust will be responsible for administering its compliance policies and procedures, shall have sufficient authority and independence within the organization to compel others to adhere to the compliance policies and procedures, shall report directly to the Board of Trustees, shall annually furnish a written report on the operation of the compliance policies and procedures to the Board of Trustees and shall perform such other duties as prescribed by the Board of Trustees.

  • Duties and Responsibilities of Employee (a) During the Employment Period, Employee shall devote substantially all of Employee’s business time and attention to the business of the Company and its Affiliates, will act in a manner that Employee reasonably believes is consistent with the best interests of the Company and its Affiliates and will perform with due care Employee’s duties and responsibilities. Employee’s duties will include those normally incidental to the position(s) set forth in Section 1 above of as well as whatever additional duties may be assigned to Employee, with Employee’s consent, by any senior officers or by the Board of Managers of EPE Acquisition (the “Board”) from time to time. Employee agrees not to engage in any activity that materially interferes with the performance of Employee’s duties hereunder. Without limiting the foregoing, during the Employment Period, Employee will not hold any type of outside employment, engage in any type of consulting or otherwise render services to or for any other person, entity or business concern without the advance written approval of the Board. Notwithstanding the foregoing, the parties acknowledge and agree that Employee may (i) serve on corporate boards or committees (A) listed on Schedule 2(a) hereto or (B) approved by the Board, (ii) serve on civic, educational, religious, public interest, or charitable boards or committees, (iii) manage Employee’s personal and family investments, provided that such activity is not expressly prohibited by Section 10 and (iv) engage in passive investments (the activities referred to in the immediately preceding clauses (i), (ii), (iii) and (iv) being “Permitted Activities”); provided, however, that such activities shall be permitted so long as such activities do not materially interfere with the performance of Employee’s duties and responsibilities under this Agreement or conflict with the business and affairs of the Company. (b) Employee expressly represents and covenants to the Company that Employee is not subject or a party to any employment agreement, noncompetition covenant, nondisclosure agreement, or any other agreement, covenant, understanding, or restriction that would prohibit Employee from executing this Agreement and fully performing Employee’s duties and responsibilities hereunder.

  • President and Chief Executive Officer The president shall be the chief executive officer of the Trust, unless the Board of Trustees designates the chairman as chief executive officer. The chief executive officer shall also be the chief administrative officer of the Trust and shall perform such other duties and have such other powers as the Board of Trustees may from time to time prescribe.
