Earliest Consummation. Each party hereto shall use its commercially reasonable best efforts to consummate the Merger as soon as practicable. If the conditions set forth in Annex I hereto are satisfied, or waived, the Purchaser shall consummate the Offer and accept for payment Shares tendered therein and thereafter effectuate the Merger.
