Early Expiration Date. So long as an effective registration statement exists with respect to the resale of the shares issuable on exercise of this Warrant, if the Closing Price for the Common Stock is more than the Target Price for each of twenty (20) consecutive Trading Days (the twentieth of such consecutive Trading Days, the "Target Trading Day"), then the Company will have the right to give the Holder a written notice (an "Early Expiration Date Notice") within five (5) Trading Days after the Target Trading Day. The Early Expiration Date Notice shall state that the Expiration Date shall be a date specified in such notice (the "Early Expiration Date"), which date shall not be earlier than sixty (60) days after the Target Trading Day.

Early Expiration Date. Subject to each and every one of the following contingencies, Tenant shall have the option to have the Lease Term end as of the Early Expiration Date instead of the end of the Initial Lease Term. (i) This Lease Agreement is in full force and effect. (ii) Tenant, at the time of exercise of this option and of the Early Expiration Date (1) is not in default with respect to any terms, covenants or conditions of this Lease Agreement, and (2) has not sublet the Premises (or any party thereof) or assigned this Lease Agreement. By way of clarification, the parties agree that use of the Premises by Tenant’s affiliate bank does not constitute an assignment, subletting, or default. (iii) By the end of the fifty-first (51st) month of the Initial Lease Term (“Early Expiration Notice Deadline”), Tenant has (1) provided Landlord written notice of Tenant’s decision to have the Lease Term end on the Early Expiration Date time being of the essence, and (2) Tenant has paid to Landlord the Early Expiration Payment. “Early Expiration Payment” means an amount equal to the sum of (A) the unamortized portion of (i) the costs of performing Landlord’s Work; (ii) the three (3) months free Fixed Rent provided at the commencement of the Term; and (iii) the brokerage commission paid to the Broker; plus (B) an amount equal to two (2) months of then Fixed Rent and Additional Rent. Note: The amortization referenced in (A) shall be based on an eight (8%) percent annual interest factor and calculated over the 120 Lease Months comprised of Lease Months 4-123.
Early Expiration Date. By Seller, if the Purchaser shall --------------------- have not provided to Seller a waiver or evidence (satisfactory to Seller) of satisfaction of the condition set forth in Section 6.1(l) on or prior to the later of (i) 60 days after the end of the initial FCC comment period relating to the transactions contemplated hereby, and (ii) 14 days after the FCC Authorization, for any reason other than the breach or inaction of the party seeking to exercise its termination rights under this Section 9.1.

The Company's net income after tax, for purposes of this Section 8, shall be recomputed to (a) exclude the amount of any extraordinary items of income or loss determined in accordance with generally accepted accounting principles in the United States, and (b) subtract the amount, if any, by which $6,500,000 exceeds the amount of the Company's research and development expenses, as shown on its year-end audited financial statements for its 1996 fiscal year (exclusive of any amounts included in such research and development expenses attributable to the Company's investment in the joint venture formed pursuant to that certain Joint Venture Agreement, dated as of the date hereof between the Company and the Holder).

With respect to any Letter of Credit which contains any "evergreen" or automatic renewal provision, each Lender shall be deemed to have consented to any such extension or renewal unless any such Lender shall have provided to the Agent, written notice that it declines to consent to any such extension or renewal at least thirty days prior to the date on which the Letter of Credit Issuer is entitled to decline to extend or renew the Letter of Credit. If all of the requirements of this Section 2.3 are met and no Default or Event of Default has occurred and is continuing, no Lender shall decline to consent to any such extension or renewal.

  • Termination/Expiration Upon termination or expiration of this Lease, Tenant shall, at Tenant's cost, remove any equipment, improvements or storage facilities utilized in connection with any Hazardous Materials and shall clean up, detoxify, repair and otherwise restore the Premises to a condition free of Hazardous Materials, to the extent such condition is caused by Tenant or any assignee or subtenant of Tenant or their respective agents, contractors, employees, licensees or invitees.

  • Expiration Date Each Letter of Credit shall expire at or prior to the close of business on the earlier of (i) the date one year after the date of the issuance of such Letter of Credit (or, in the case of any renewal or extension thereof, one year after such renewal or extension) and (ii) the date that is five Business Days prior to the Maturity Date.

  • Dissolution Upon Expiration Date Unless earlier dissolved, the Trust shall automatically dissolve on July 30, 2040 (the “Expiration Date”), and the Trust Property shall be liquidated in accordance with Section 9.4.
