Common use of Early Redemption upon Rating Event Clause in Contracts

Early Redemption upon Rating Event. The Issuer may, at its option, redeem all (but not less than all) of the TCPL Sub Notes - Series 2016-A at any time upon or following the occurrence of a Rating Event on not less than 30 days nor more than 60 days prior notice to the Holders thereof, without the consent of the Holders. The redemption price per $1,000 principal amount of the TCPL Sub Notes - Series 2016-A shall be equal to par plus $20 together with accrued and unpaid interest to, but excluding, the date fixed for redemption.
