Common use of Early Termination by Rockefeller Clause in Contracts

Early Termination by Rockefeller. Rockefeller may terminate this Agreement if: (a) Company is more than sixty (60) days late in paying to Rockefeller any amounts owed under this Agreement and does not pay Rockefeller in full within ten (10) days following written notice thereof; (b) Company or its Affiliates or sublicensees breaches this Agreement and does not cure the breach within forty five (45) days after written notice of the breach; or (c) Company or its Affiliates or sublicensees challenges the validity or enforceability of the Rockefeller Patent Rights, or assists or encourages third parties to do so.
