Effect Following Closing Sample Clauses

Effect Following Closing. Each Party shall be deemed to have waived its rights to terminate this Agreement upon consummation of the transactions contemplated hereby. No such waiver shall constitute a waiver of any other rights arising from the non-fulfillment of any condition precedent set forth in Article 9 or any misrepresentation or breach of any warranty, covenant or agreement contained herein unless such waiver is made in writing and executed by the Party against whom such waiver is sought to be enforced and then any such written waiver shall only constitute a waiver of the specific matters set forth therein.
