Effect of Agreement, Assignment, Required Assumption. This Agreement shall be binding upon the Executive and his heirs, executors, administrators, legal representatives, successors and assigns, the Company and NFP and their successors and assigns. The Executive may not assign any rights or obligations hereunder without the prior written consent of NFP and, except with respect to a successor entity (as described below), NFP may not assign any rights or obligations hereunder without the prior written consent of the Executive. NFP shall require any person who is the successor (whether direct or indirect, by purchase, merger, consolidation or otherwise) to all or a substantial portion of the business or assets of NFP to expressly assume the obligations of NFP hereunder. The terms "NFP" and the "Company" as used in this Agreement shall expressly include any such successors.
