Effect of Amendment or Waiver. The Stockholders and their successors and assigns acknowledge that by the operation of Section 2.7 of this Agreement the holders of a majority of the outstanding Registrable Securities, acting in conjunction with the Company, will have the right and power to diminish or eliminate any or all rights or increase any or all obligations pursuant to this Agreement.

The Stockholders Each Shareholder and their its successors and assigns acknowledge that by the operation of Section 2.7 of this Agreement hereof the holders of a majority of the outstanding Registrable Securities, acting in conjunction with the Company, will have the right and power to diminish or eliminate any or all rights or increase any or all obligations pursuant to this Rights Agreement, provided that any consent, waiver, modification or amendment shall apply equally to all Holders.

The Stockholders Investors and their successors and assigns acknowledge that by the operation of Section 2.7 3.7 of this Agreement the holders of a majority of the outstanding Registrable Securities, acting in conjunction with the Company, will have the right and power to diminish or eliminate any or all rights or increase any or all obligations pursuant to this Agreement; provided that the rights and obligations of Applied may not be adversely affected without its consent in accordance with Section 3.7 above.

The Stockholders Holders and their respective successors and assigns acknowledge that by the operation of Section 2.7 of this Agreement 4.7 hereof the holders of a majority of the outstanding Registrable Securities, acting in conjunction with the Company, will have the right and power to diminish or eliminate any or all rights or increase any or all obligations pursuant to this Agreement.
