Effect of Dissolution Event. Upon the occurrence of a Dissolution Event, the Company shall cease carrying on as distinguished from the winding up of the Company business, but the Company shall not be terminated, but shall continue until the winding up of the affairs of the Company has been completed and the certificate of dissolution has been issued by the Secretary of State.
