Common use of Effect of Exercise of Option to Litigate Clause in Contracts

Effect of Exercise of Option to Litigate. In the event that a notice pursuant to Clause 21.2 (Option to Litigate) is issued, the following provisions shall apply: (a) subject to sub-Clause 21.3(c) below, the courts of England shall have exclusive jurisdiction to settle any Dispute and each of the Trustees and the IsDB submits to the exclusive jurisdiction of such courts; (b) each of the Trustees and the IsDB agrees that the courts of England are the most appropriate and convenient courts to settle and Dispute and, accordingly, that it will not argue to the contrary; and (c) this Clause 21.3 is for the benefit of the Delegate only. As a result, and notwithstanding sub-Clause 21.3(a) above, the Delegate may take proceedings relating to a Dispute (Proceedings) in any other courts with jurisdiction. To the extent allowed by law, the Delegate may take concurrent Proceedings in any number of jurisdictions.

As a result, and notwithstanding sub-Clause 21.3(a23.3(a) above, the Delegate relevant Purchaser may take proceedings relating to a Dispute (Proceedings) in any other courts with jurisdiction. To the extent allowed by law, the Delegate relevant Purchaser may take concurrent Proceedings in any number of jurisdictions.

In the event that a notice pursuant to Clause 21.2 33.3 (Option to Litigate) is issued, the following provisions shall apply: (a) subject to sub-Clause 21.3(c33.4(c) below, the courts of England shall have exclusive jurisdiction to settle any Dispute and each of the Trustees and the IsDB submits to the exclusive jurisdiction of such courts; (b) each of the Trustees and the IsDB agrees that the courts of England are the most appropriate and convenient courts to settle and Dispute and, accordingly, that it will not argue to the contrary; and (c) this Clause 21.3 33.4 is for the benefit of the Delegate and Agents only. As a result, and notwithstanding sub-Clause 21.3(a33.4(a) above, the Delegate and any Agent may take proceedings relating to a Dispute (Proceedings) in any other courts with jurisdiction. To the extent allowed by law, the Delegate and any Agent may take concurrent Proceedings in any number of jurisdictions.
