Effect of Expiration or Termination For Cause or Without Good Reason. Upon the expiration of this Agreement pursuant to subsection 5(a) hereof or upon a termination of this Agreement pursuant to subsection 5(b) hereof by Employer with Cause or by Executive without Good Reason, Executive shall be entitled to payment of: (i) Base Compensation through the Termination Date; (ii) amounts accrued under benefit plans in which Executive is a participant as of the Termination Date.
