Effect of Good Reason Termination. If Executive terminates this Agreement for Good Reason (as defined in Section 7(b)), it shall for all purposes be treated as a termination by Company without Cause.

If Executive terminates this Agreement for Good Reason (Reason, as defined in Section Subsection 7(b)), it Executive shall for be entitled to receive all purposes be treated of the payments and benefits provided by Section 6B and otherwise in this Agreement to the same extent as a termination if this Agreement had been terminated by Company without Cause.

Effect of Good Reason Termination. If Executive terminates this Agreement for Good Reason (as defined in Section 7(b)), it shall for all purposes be treated as a termination by Company without Cause. Without limiting the generality of the previous sentence, if Executive terminates his employment with Good Reason on or before December 31, 2004, at the time the termination is effective, Company shall extend the time within which Executive may exercise any then vested stock options until April 11, 2005.
