Effect of Good Reason Termination. If Executive terminates this Agreement for Good Reason (as defined in Section 7(b)), it shall for all purposes be treated as a termination by Company without Cause.

Without limiting the generality of the previous sentence, if Executive terminates his employment with Good Reason on or before December 31, 2004, at the time the termination is effective, Company shall extend the time within which Executive may exercise any then vested stock options until April 11, 2005.
