Effect of Merger on Company Capital Stock. At the Effective Time, all shares of Company Capital Stock ("Company Capital Stock") and any right to acquire any shares of Company Capital Stock, including any options or warrants issued and outstanding, whether or not vested, shall cease to exist. The Company's Series B Preferred Stock, $0.001 par value ("Series B Preferred Stock"), and each share of the Series D Preferred Stock, $0.001 par value ("Series D Preferred Stock"), shall become a right to receive shares of Parent Common Stock as provided in Section 1.9 below.
