Effect of notice of prepayment. Once notice of prepayment is mailed in accordance with Section 3.03 hereof, Notes (or the applicable portion thereof) called for prepayment become irrevocably due and payable on the prepayment date at the prepayment price.

Once notice of prepayment is mailed in accordance with Section 3.03 hereof, Notes (or the applicable portion thereof) called for prepayment become irrevocably due and payable on the prepayment date at the prepayment price plus accrued and unpaid Fixed Interest to such date. A notice of prepayment may not be conditional. Upon surrender of any of the Notes called for prepayment to the Paying Agent, such Notes shall be paid on the prepayment date at the prepayment price, plus accrued and unpaid Fixed Interest to such date.
