Effect of Payment of Purchase Price. Upon the payment of the Purchase Price (whether in cash or by an increase in the principal amount outstanding under the applicable Initial Purchaser Note) for any purchase of Receivables and Related Assets, title to such Receivables and Related Assets shall vest in the Initial Purchaser, whether or not the conditions precedent to such purchase were in fact satisfied; PROVIDED that the Initial Purchaser shall not be deemed to have waived any claim it may have under the Purchase and Sale Agreement for the failure by any Originator in fact to satisfy any such condition precedent.
Effect of Payment of Purchase Price. Upon the payment of the Purchase Price for any Purchase, (whether in cash or through a capital contribution), title to the related Transferred Assets shall vest in the Buyer, whether or not the conditions precedent to such Purchase were in fact satisfied; provided, however, that the Buyer shall not be deemed to have waived any claim it may have under this Originator Purchase Agreement for the failure by the Originator in fact to satisfy any such condition precedent.
Effect of Payment of Purchase Price. Effect of Payment of Purchase Price. Upon the payment of the Purchase Price by the Purchaser to the Seller for any Purchase pursuant to Section 2.02(b), title to the Receivables and Related Assets included in such Purchase shall vest in the Purchaser.
Effect of Payment of Purchase Price. Upon the payment of the Purchase Price (whether in cash or by an increase in the principal amount outstanding under the Purchaser Note pursuant to SECTION 3.1) for any Purchase, title to the Receivables and the Related Assets included in such Purchase shall, subject to SECTION 1.6, vest in the Initial Purchaser, whether or not the conditions precedent to such Purchase were in fact satisfied; PROVIDED that the Initial Purchaser shall not be deemed to have waived any claim it may have under this Agreement for the failure by KBK in fact to satisfy any such condition precedent.

Upon the payment of the Purchase Price (whether in cash or by an increase in the principal amount outstanding under an Initial Purchaser Note or a reduction of an Originator Note) for any purchase of Pool Receivables and Related Rights, title to such Pool Receivables and Related Rights shall vest in the Initial Purchaser, whether or not the conditions precedent to such purchase were in fact satisfied; provided that the Initial Purchaser shall not be deemed to have waived any claim it may have under this Agreement for the failure by an Originator in fact to satisfy any such condition precedent.
Effect of Payment of Purchase Price. Upon the payment of the Purchase Price for the Initial Sale of Assigned Receivables and Related Rights, absolute title to such Assigned Receivables and Related Rights shall vest in the Buyer, whether or not the conditions precedent to such purchase were in fact satisfied; provided that the Buyer shall not be deemed to have waived any claim it may have under this Agreement for the failure by AG in fact to satisfy any such condition precedent.
Effect of Payment of Purchase Price. Each Originator, by accepting the proceeds of the Purchase Price for a Purchase, shall be deemed to have certified to the Buyer the satisfaction of the conditions precedent described in the immediately preceding Section 3.02. Upon the payment of the Purchase Price for any Purchase, (whether in cash or by the 19 -15- making of an Originator Loan pursuant to Section 2.02(b)), title to the Transferred Assets included in such Purchase shall vest irrevocably in the Buyer, whether or not the conditions precedent to such Purchase were in fact satisfied; provided, however, that the Buyer shall not be deemed to have waived thereby any claim for indemnification it may have under this Agreement for the failure by any Originator in fact to have satisfied any such condition precedent.
Effect of Payment of Purchase Price. Upon the payment of the Purchase Price (whether in cash or by an increase in a Buyer Note pursuant to Section 3.1) for any Purchase or, in the case of ICP or ICPPC as a Seller, by a capital contribution, title to the Receivables and the Related Assets included in the Purchase shall vest in Buyer, whether or not the conditions precedent to the Purchase were in fact satisfied; provided, however, that Buyer shall not be deemed to have waived any claim it may have under this Agreement for the failure by a Seller in fact to satisfy any such condition precedent. Upon any capital contribution of Receivables and Related Assets by ICP to ICPPC, title to the Receivables and Related Assets included in the contribution shall vest in ICPPC.
