Effect of Sale and Purchase of the Sale Shares. Neither entering into, nor compliance with, nor completion of this Agreement will, or is likely to result in a breach or cancellation of, or give any third party a right to terminate or vary, or result in any Encumbrance under, any contract or arrangement to which the Company is a party or by which the Company or its property or assets may be bound or affected or violate any Laws or any order, writ, injunction or decree of any Governmental Authority affecting the Company.
