Common use of Effect of Survival Periods Clause in Contracts

Effect of Survival Periods. The survival periods set forth in this Section 7.1 are intended to operate only as the time periods within which a party must deliver to the other party a written notice of a Loss, claim or breach, and following such delivery the notifying party shall be entitled to pursue its available remedies with respect thereto pursuant to the provisions of and subject to the limitations in this Agreement regardless of the survival periods set forth in this Section 7.1.

If a Claim Certificate is not delivered during the relevant survival period, the Indemnified Party shall not be entitled to indemnification with respect to such matters covered therein.
