Common use of Effect of Survival Periods Clause in Contracts

Effect of Survival Periods. The survival periods set forth in this SECTION 11 are intended to operate only as the time periods within which a party must deliver to the other party a written notice of Loss, claim or breach, and following such delivery the notifying party shall be entitled to pursue its available remedies with respect thereto pursuant to the provisions of and subject to the limitations in this Agreement regardless of the survival periods set forth in this SECTION 11. It is the express intent of the parties that, if an applicable survival period as contemplated by this SECTION 11 is shorter than the statute of limitations that would otherwise have been applicable, then, by contract, the applicable statute of limitations shall be reduced to the shortened survival period contemplated hereby.
