Effect of Termination for Any Other Reason. Unless otherwise provided in the Employment Agreement, if the Recipient's employment with the Company terminates prior to the end of the Vesting Period set forth in this Agreement for any reason other than Disability or death, no further Tax Gross-Up Payments shall be made to such Recipient.
