Common use of Effect of Termination Without Cause Clause in Contracts

Effect of Termination Without Cause. If Employee's employment is terminated "Without Cause": (a) Employee shall be entitled to accrued base salary under Section 3.1 hereof through the date of termination. (b) Employee shall be entitled to receive all benefits as would have been awarded under Section 3.4 hereof through the date of termination, which benefits shall be awarded as and when the same would have been awarded under the Agreement had it not been terminated. (c) Employee shall be entitled to reimbursement for expenses accrued through the date of termination in accordance with the provisions of Section 4.1 hereof. (d) Employee shall be entitled to receive all amounts of incentive compensation as would have been payable under Section 3.2 hereof through the original term of the Agreement, which amounts shall be paid as and when the same would have been paid under the Agreement had it not been terminated. (e) All unvested Option Shares under Section 3.3 hereof shall immediately vest in full. (f) Except as provided in Article XI, this Agreement shall thereupon terminate and cease to be of any further force or effect.

Effect of Termination Without Cause. If EmployeePhysician's employment is terminated "Without Cause": (a) Employee Physician shall be entitled to accrued base salary under Section 3.1 hereof through the date of termination. (b) Employee Physician shall be entitled to receive all benefits as would have been awarded under Section 3.4 hereof through the date of termination, which benefits shall be awarded as and when the same would have been awarded under the Agreement had it not been terminated. (c) Employee Physician shall be entitled to reimbursement for expenses accrued through the date of termination in accordance with the provisions of Section Sections 3.5 and 4.1 hereof. (d) Employee Physician shall be entitled to receive all amounts of incentive compensation as would have been payable under Section 3.2 hereof through the original term Term of the this Agreement, which amounts shall be paid as and when the same would have been paid under the Agreement had it not been terminated. (e) All unvested Option Shares stock options, if any, under Section 3.3 hereof shall immediately vest in full. (f) Physician shall be entitled to a lump sum severance payment in an amount equal to one hundred twenty thousand dollars ($120,000.00). (g) Except as provided in Article XIX, this Agreement shall thereupon terminate and cease to be of any further force or effect.

Effect of Termination Without Cause. If Employee's employment is terminated "Without Cause": (a) Employee shall be entitled to accrued the greater of (i) an amount equal to the annual base salary under Section 3.1 hereof through for the date remainder of terminationthe term, or (ii) one year's base salary. (b) Employee shall be entitled to receive all benefits as would have been awarded under Section 3.4 hereof through the date of termination, which benefits shall be awarded as and when the same would have been awarded under the Agreement had it not been terminated. (c) Employee shall be entitled to reimbursement for expenses accrued through the date of termination in accordance with the provisions of Section 4.1 hereof. (dc) Employee shall be entitled to receive all amounts of incentive compensation as would have been payable additional bonuses under Section 3.2 hereof through the original term expiration of the AgreementTerm hereof, which amounts shall be paid upon termination. (d) Employee shall be entitled to receive all benefits as would have been awarded under Section 3.7 hereof through the expiration of the Term hereof, which benefits shall be awarded as and when the same would have been paid awarded under the Agreement had it not been terminated. (e) All unvested Option Shares under Section 3.3 hereof shall immediately vest in full. (f) Except as provided in Article XI, this Agreement shall thereupon terminate and cease to be of any further force or effect.

(e) Employee shall be entitled to receive all an amounts of incentive compensation as would have been payable under Section 3.2 hereof through the original term of the Agreement, which amounts shall be paid as and when the same would have been paid under the Agreement had it not been terminated. (ef) All unvested Option Shares under Section 3.3 hereof shall immediately vest in full. (fg) Except as provided in Article XIX, this Agreement shall thereupon terminate and cease to be of any further force or effect.
