Common use of Effect of this Assignment Agreement Clause in Contracts

Effect of this Assignment Agreement. On and after the Assignment Effective Date, (a) each Assignee Participant shall be a Participant with a Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Proportionate Share as set forth under the caption "Tranche Percentages and Proportionate Share After Assignment" opposite such Assignee Participant's name in Part A of Attachment 1 hereto and shall have the rights, duties and obligations of such a Participant under the Participation Agreement and the other Operative Documents and (b) Assignor Participant shall be a Participant with a Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Proportionate Share as set forth under the caption "Tranche Percentages and Proportionate Share After Assignment" opposite Assignor Participant's name in Part A of Attachment 1 hereto and shall have the rights, duties and obligations of such a Participant under the Participation Agreement and the other Operative Documents, or, if the Proportionate Share of Assignor Participant has been reduced to zero, Assignor Participant shall cease to be a Participant and shall have no further obligation to fund any portion of any Advance.

Effect of this Assignment Agreement. On and after the Assignment Effective Date, (a) each Assignee Participant shall be a Participant with a Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Proportionate Share under each Facility as set forth under the caption "Tranche Percentages and Proportionate Share Shares After Assignment" opposite such Assignee Participant's name in Part A of Attachment 1 hereto and shall have the rights, duties and obligations of such a Participant under the Participation Agreement and the other Operative Documents and (b) Assignor Participant shall be a Participant with a Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Proportionate Share under each Facility as set forth under the caption "Tranche Percentages and Proportionate Share Shares After Assignment" opposite Assignor Participant's name in Part A of Attachment 1 hereto and shall have the rights, duties and obligations of such a Participant under the Participation Agreement and the other Operative Documents, or, if the Proportionate Share of Assignor Participant has been reduced to zero, Assignor Participant shall cease to be a Participant and shall have no further obligation to fund any portion of any Advance.

On and after the Assignment Effective Date, (a) each Assignee Participant Lender shall be a Participant Lender with a Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Proportionate Share as equal to the Proportionate Share set forth under the caption "Tranche Percentages and Proportionate Share After Assignment" opposite such Assignee ParticipantLender's name in Part A of Attachment 1 on ATTACHMENT I hereto and shall have the rights, duties and obligations of such a Participant Lender under the Participation Credit Agreement and the other Operative Credit Documents and (b) Assignor Participant Lender shall be a Participant Lender with a Tranche A Percentage, Tranche B Percentage, Tranche C Percentage and Proportionate Share as equal to the Proportionate Share set forth under the caption "Tranche Percentages and Proportionate Share After Assignment" opposite Assignor ParticipantLender's name in Part A of Attachment 1 on ATTACHMENT I hereto and shall have the rights, duties and obligations of such a Participant Lender under the Participation Credit Agreement and the other Operative Credit Documents, or, if the Proportionate Share of Assignor Participant Lender has been reduced to zero0%, Assignor Participant Lender shall cease to be a Participant Lender and shall have no further obligation to fund make any portion of any AdvanceLoans.
