Common use of Effect of Transfer Clause in Contracts

Effect of Transfer. (a) After a Servicing Transfer, the terminated Servicer shall have no further obligations with respect to the management, administration, servicing, custody or collection of the Contracts and the Successor Servicer appointed pursuant to Section 8.04 shall have all of such obligations, except that the terminated Servicer will transmit or cause to be transmitted directly to the Successor Servicer for its own account, promptly on receipt and in the same form in which received, any amounts (properly endorsed where required for the Successor Servicer to collect them) received as payments upon or otherwise in connection with the Contracts. (b) A Servicing Transfer shall not affect the rights and duties of the parties hereunder (including but not limited to the indemnities of the Servicer) other than those relating to the management, administration, servicing, custody or collection of the Contracts.

(b) A Servicing Service Transfer shall not affect the rights and duties of the parties hereunder (including but not limited to the indemnities of the Servicer) Servicer and the Seller pursuant to Article X and Section 11.06), other than those relating to the management, administration, servicing, custody or collection of the Contracts.
