Common use of Effect on Prior Agreement Clause in Contracts

Effect on Prior Agreement. Upon the execution and delivery of this Agreement by (a) the Company and (b) the Existing Investors representing the Majority Investors (as defined in the Prior Agreement), the Prior Agreement automatically shall terminate and be of no further force and effect and shall be superseded and replaced in its entirety as set forth in this Agreement.

Upon the execution and delivery of this Agreement by (a) the Company and (b) a majority of the Existing Investors representing the Majority Investors (as defined in the Prior Agreement)Major Stockholders, the Prior Agreement agreement shall automatically shall terminate and be of no further force and effect and shall be superseded amended and replaced restated in its entirety as set forth in this Agreement.

Effect on Prior Agreement. Upon the execution and delivery of this Agreement by (a) the Company and (b) Company, the Existing Investors representing the Majority Investors Required Holders (as defined in the Prior Agreement)) and a majority of the outstanding shares of Junior Preferred Stock, the Prior Agreement automatically shall terminate and be of no further force and effect and shall be superseded amended and replaced restated in its entirety as set forth in this Agreement.
