Effect on Prior Agreement. Upon the effectiveness of this Agreement and holders of a majority of the Registrable Securities (as defined in the Prior Agreement) becoming parties to this Agreement, the Prior Agreement shall be superseded and replaced in its entirety by this Agreement and shall be of no further force or effect.
