Common use of Effect on Prior Agreement Clause in Contracts

Effect on Prior Agreement. As of the Effective Date, this Agreement constitutes the entire agreement and understanding between the Parties to this Agreement and supersedes all prior and contemporaneous agreements, promises, negotiations and understandings between the Parties, whether oral or written, express or implied with respect to the subject matter of this Agreement.
