EFFECT ON PRIOR AGREEMENTS AND EXISTING BENEFITS PLANS. This Agreement contains the entire understanding between the parties hereto and supersedes any prior severance arrangements, employment and change in control agreements between the Bank and Executive, including the Prior Agreement, except that this Agreement shall not affect or operate to reduce any benefit or compensation inuring to Executive under another plan, program or agreement (other than an employment or change in control agreement) between the Bank and Executive.

For purposes of clarity, the Prior Agreement will automatically terminate as of the Effective Date without any further action or notice to the Executive.
