EFFECT ON SHARE EXCHANGE AGREEMENT. Subject to the amendments provided herein, all of the other terms and conditions of the Share Exchange Agreement shall continue in full force and effect after the execution of this Amendment and shall not be in any way changed, modified or superseded by the terms set forth herein (except to the extent necessary to give effect to the amendments made by this Amendment).
EFFECT ON SHARE EXCHANGE AGREEMENT. The provisions of this Escrow Agreement are not intended to alter, modify, negate or replace any provisions of the Share Exchange Agreement that may be in conflict with the provisions hereof. In the event of any conflict or inconsistency between the terms hereof and the Share Exchange Agreement, the Share Exchange Agreement shall control.
