Effective Date and Closing Date Documents. On the Effective Date, the Purchaser shall have received the Effective Date Documents duly executed by all signatories thereto. At each subsequent Closing Date, the Purchaser and the applicable Sellers each will furnish to the other a fully executed counterpart of the Term Sheet and the initial certification from Custodian regarding its receipt of the Collateral Files for the related Mortgage Loans.
