Common use of Effective Date and Closing Clause in Contracts

Effective Date and Closing. The conveyance of the Subject Property to Buyer (and of the Xxxxxx Interests to the Xxxxxx Transferees) shall be effective as of December 1, 2010 at 7:00 a.m. where the Subject Properties are located (the “Effective Date”), but record title and possession thereof shall be delivered at the “Closing”, which shall take place on or before December 10, 2010 (the “Closing Date”) unless extended by agreement of the Parties.
