Common use of Effective Date Certificate Clause in Contracts

Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, a certificate, dated the effective date of this Amendment (the "Thirteenth Amendment Effective Date"), appropriately completed and duly executed and delivered by an Authorized Officer of the Borrower in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date and, at the time such certificate is delivered, such statements shall in fact be true and correct.

Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, a certificate, dated the effective date of this Amendment (the "Thirteenth Fifteenth Amendment Effective Date"), appropriately completed and duly executed and delivered by an Authorized Officer of the Borrower in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date and, at the time such certificate is delivered, such statements shall in fact be true and correct.

The Administrative Agent shall have received, with counterparts for each Lender, a certificate, dated the effective date of this Amendment (the "Thirteenth Twelfth Amendment Effective Date"), appropriately completed and duly executed and delivered by an Authorized Officer of the Borrower in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date and, at the time such certificate is delivered, such statements shall in fact be true and correct.

Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, a certificatethe Effective Date Certificate substantially in the form of Exhibit A hereto, dated the effective date of this Amendment (the "Thirteenth Amendment Effective Date"), appropriately completed Date and duly executed and delivered by an the chief executive, financial or accounting (or equivalent) Authorized Officer of the Borrower each Borrower, in which certificate the Borrower WWI shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower WWI made as of such date under this Agreement, and, at the time such certificate is delivered, such statements shall in fact be true and correct.

The Administrative Agent shall have received, with counterparts for each Lender, a certificate, dated the effective date of this Amendment (the "Thirteenth Ninth Amendment Effective Date"), appropriately completed and duly executed and delivered by an Authorized Officer of the Borrower in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date and, at the time such certificate is delivered, such statements shall in fact be true and correct.

Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, a certificatethe Effective Date Certificate, substantially in the form of Exhibit D hereto, dated the effective date of this Amendment (the "Thirteenth Amendment Effective Date"), appropriately completed Date and duly executed and delivered by an Authorized Officer that is the president, the chief executive officer or the chief financial officer of the Borrower Borrower, in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower made as of such date under this Agreement, and, at the time such certificate is delivered, such statements shall in fact be true and correct.
