Effective Date Notice. This amendment is deemed to take effect on 1 July 2005. The terms of the appointment shall continue until terminated by either party giving to the other not less than 6 months’ written notice of termination.

Effective Date Notice. Promptly following the occurrence of the Effective Date, the Lender shall give notice to the Borrower of the occurrence of the Effective Date, which notice shall be conclusive, and the parties may rely thereon; provided, that such notice shall not waive or otherwise limit any right or remedy of the Lender arising out of any failure of any condition precedent set forth in SECTION 5 to be satisfied.

Effective Date Notice. (1) This section shall take effect upon the ap- propriation of $900,000 as authorized under sec- tion 1754(e) of this title. (2) The Secretary shall publish notice of such appropriation in the Federal Register when the funds are deposited in the fund established under section 1754(a) of this title.

Effective Date Notice. An Effective Date Notice executed by Borrower shall have been provided to Administrative Agent no less than four Business Days prior to the Effective Date.

Effective Date Notice. On satisfaction or waiver of the conditions precedent specified in Clause 3.1 (Agreement of the Lenders and the other Finance Parties), the Effective Date Notice shall be completed and signed by the Facility Agent and the Facility Agent shall provide a copy of the Effective Date Notice to the Original Borrower, the Owner Guarantors, the Parent Guarantor, the Shareholder, the Acceding Parties and the Lenders.

Effective Date Notice. Lessee shall have delivered to Agent and each Lessor, not later than 10:00 a.m. San Francisco time not earlier than the tenth (10th) and not later than the third (3rd) Business Day prior to the proposed Effective Date, an irrevocable notice (an Effective Date Notice) substantially in the form of Exhibit B, specifying (i) the proposed Effective Date and (ii) a representation and warranty that as of the Effective Date and at all times thereafter, each Vehicle subject to the Lease will either be (a) used in interstate commerce, titled in a State with respect to which Agent and Lessors have a perfected security interest in such Vehicle and registered in a State which is a party to the International Registration Plan or (b) used in intrastate commerce, registered in the State in which it is so used and titled in a State with respect to which Agent and Lessors have a perfected security interest in such Vehicle.

Effective Date Notice. On the day of satisfaction or waiver of the conditions precedent specified in Clause 3.1 (Agreement of the Lenders and the other Finance Parties) (it being agreed that the condition precedent set out in Clause 3.1(c) may not be waived without the consent of the Acceding Parties), the Effective Date Notice shall be completed and signed by the Facility Agent and the Facility Agent shall promptly on such day provide a copy of the Effective Date Notice to the Borrower, the Existing Parent Guarantor, the Acceding Parties and the Lenders.

Effective Date Notice. The Administrative Agent shall notify the Borrower and the Lenders of the Effective Date, and such notice shall be conclusive and binding. The Borrower instructs the Administrative Agent to, and the Administrative Agent agrees to, issue the Effective Date Notice to each of the Presenting Banks by fax at the contact details provided in Schedule 4.03, with a copy to the Borrower, on the Effective Date once this Agreement has become effective.
