Effective Date; Term of the Insurance Agreement. This ----------------------------------------------- Insurance Agreement shall take effect on the Closing Date and shall remain in effect until the later of (a) such time as the Insurer is no longer subject to a claim under either Policy and each Policy shall have been surrendered to the Insurer for cancellation and (b) all amounts payable to the Insurer by IOS Capital and the Issuer hereunder or from any other source hereunder or under the Company Documents and all amounts payable under the Notes have been paid in full; provided, however, that the provisions of Sections 3.02, 3.03 and 3.04 -------- ------- hereof shall survive any termination of this Insurance Agreement.
