Common use of Effective Registration Statement Clause in Contracts

Effective Registration Statement. A registration requested pursuant to this Section 4.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC or other Governmental Authority for any reason not attributable to the Requesting Stockholder or any of its Affiliates and has not thereafter become effective.

Effective Registration Statement. Effective Registration Statement. A registration requested required pursuant to this Section 4.1 7.1 shall not be deemed to have been effected (i) unless a registration statement the Registration Statement has become effective and remained effective in compliance with the provisions of the Act with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement to the disposition of all of the SEC or other Governmental Authority for any Shares covered by such Registration Statement until such time as all of the Shares have been disposed of in accordance with the intended methods of disposition by the Purchaser set forth in such Registration Statement (unless the failure to so dispose of such Shares shall be caused solely by reason not attributable to of a failure on the Requesting Stockholder or any part of its Affiliates and has not thereafter become effectivethe Purchaser).

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected effected: (i) unless a registration statement with respect thereto has become effective, or , (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason not attributable to the Requesting Stockholder or any of its Affiliates Selling Holders and such registration has not thereafter become effective, or (iii) if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived, other than by reason of a failure on the part of the Selling Holders.

A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason not attributable to the Requesting Stockholder or any of its Affiliates Selling Holders and has not thereafter become effective, or (iii) if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived, other than by reason of a failure on the part of the Selling Holders.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 shall 1.1(a) will not be deemed to have been effected (iunless it has become effective for the period specified in Section 1.3(b). Notwithstanding the preceding sentence, a registration requested pursuant to Section 1.1(a) unless which does not become effective after the Company has filed a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with solely by any stop order, injunction or other order or requirement reason of the SEC refusal to proceed of the holder or other Governmental Authority for any reason not attributable holders of Registrable Securities requesting the registration shall be deemed to have been effected by the Requesting Stockholder Company at the request of such holder or any of its Affiliates and has not thereafter become effectiveholders.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a the registration statement with respect relating thereto has become effectiveeffective under the Securities Act, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason or reasons not primarily attributable to the Requesting Stockholder or any of its Affiliates Shareholder and has not promptly thereafter become effective, or (iii) if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived, other than primarily by reason of a failure on the part of any Shareholder.

Effective Registration Statement. A registration -------------------------------- requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason not attributable to the Requesting Stockholder or any of its Affiliates and has not thereafter become effective, or (iii) in the case of an underwritten offering, if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with effectiveness has been suspended for one or more periods that equal or exceed ten (10) Business Days in the aggregate by the issuance of any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason reason, or (iii) if the conditions to closing specified in the purchase agreement or underwriting agreement entered into in connection with such registration are not attributable to the Requesting Stockholder or any of its Affiliates and has not thereafter become effectivesatisfied.

A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effectivebeen declared effective by the Commission, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason not attributable to other than an act or omission of the Requesting Stockholder or any of its Affiliates Selling Holders and has not thereafter become effective, or (iii) if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived, other than by reason of a failure on the part of the Selling Holders.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason reason, or (iii) if the conditions to closing specified in the purchase agreement or underwriting agreement entered into in connection with such registration are not attributable to the Requesting Stockholder or any of its Affiliates and has not thereafter become effectivesatisfied.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 shall 1.1 will not be deemed to have been effected (i) unless it has become effective for the period specified in Section 1.3(a)(ii). Notwithstanding the preceding sentence, a registration requested pursuant to this Section 1.1 that does not become effective after the Company has filed a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with solely by any stop order, injunction or other order or requirement reason of the SEC holder or other Governmental Authority for any reason not attributable holders of Registrable Securities requesting the registration having refused to proceed shall nevertheless be deemed to have been effected by the Requesting Stockholder Company at the request of such holder or any of its Affiliates and has not thereafter become effectiveholders.

Effective Registration Statement. A registration requested pursuant -------------------------------- to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effectivebeen declared effective by the Commission, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason not attributable to other than an act or omission of the Requesting Stockholder or any of its Affiliates Selling Holders and has not thereafter become effective, or (iii) if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived, other than by reason of a failure on the part of the Selling Holders.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effectiveeffective under the Securities Act, or (ii) if after it has become effective, such registration is interfered not kept effective in accordance with by Section 4, (iii) if such registration becomes the subject of any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason other than an act or omission of the Holder, or (iv) if any conditions to closing specified in the purchase agreement or underwriting agreement entered into in connection with such registration are not attributable to satisfied for any reason other than an act or omission of the Requesting Stockholder or any of its Affiliates and has not thereafter become effectiveHolder.

Effective Registration Statement. A registration requested pursuant -------------------------------- to this Section 4.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC or other Governmental Authority for any reason not attributable to the Requesting Common Stockholder or any of its Affiliates and has not thereafter become effective.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2.1(a) hereof shall not be deemed to have been effected (i) unless if a registration statement with respect thereto has become effectivenot been declared effective by the Securities and Exchange Commission ("SEC"), or (ii) if after it has become effective, such registration is materially interfered with by any stop order, injunction or other similar order or requirement of the SEC or other Governmental Authority governmental agency or court for any reason not attributable to the Requesting Stockholder or any of its Affiliates the Holders and has not thereafter become effective, or (iii) the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived, other than by reason of a failure on the part of a Holder.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, been declared effective by the Commission or (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason not attributable to the Requesting Stockholder or any of its Affiliates and has not thereafter become effective.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2.1 shall not be deemed to have been effected and shall not count as a requested registration pursuant to Section 2.1 (a) hereof (i) unless a registration statement with respect thereto has become effective, or (ii) if a registration statement has been filed with the Commission and prior to its becoming effective a majority of holders of the Registrable Securities to be registered has decided to terminate the registration process, (iii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the SEC or other Governmental Authority for any reason not attributable to the Requesting Stockholder or any of its Affiliates and has not thereafter become effective.any

Effective Registration Statement. A registration requested pursuant to this Section 4.1 2 shall not be deemed to have been effected effected: (i) unless a registration statement with respect thereto has become effective, or ; (ii) if after it has become effective, such registration is interfered with by subject to any stop order, injunction or other order or requirement of the SEC or other Governmental Authority governmental agency or court for any reason reason; (iii) if the conditions to closing specified in the purchase agreement or underwriting agreement entered into in connection with such registration are not attributable to the Requesting Stockholder or any of its Affiliates and has not thereafter become effectivesatisfied.

Effective Registration Statement. A registration requested pursuant to this Section 4.1 Article II shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, or (ii) if if, after it has become effective, such registration is withdrawn by the Company, interfered with by any stop order, injunction or other order or requirement of the SEC Commission or other Governmental Authority governmental agency or court for any reason not attributable prior to the Requesting Stockholder expiration of a 180 day period following such registration statement effectiveness, or (iii) if the conditions to closing specified in any of its Affiliates and has purchase agreement or underwriting agreement entered into in connection with such registration are not thereafter become effectivesatisfied.
