Common use of Effective Registration Statement Clause in Contracts

Effective Registration Statement. A registration requested -------------------------------- pursuant to this Section 2.1 shall not be deemed to have been effected (i) unless a registration statement with respect thereto has become effective, (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the Commission or other governmental agency or court for any reason and has not thereafter become effective, or (iii) in the case of an underwritten offering, if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived.

A registration requested -------------------------------- pursuant to this Section 2.1 shall not be deemed to have been effected (i) unless a the registration statement with respect relating thereto has become effectiveeffective under the Securities Act, (ii) if after it has become effective, such registration is interfered with by any stop order, injunction or other order or requirement of the Commission or other governmental agency or court for any reason or reasons not primarily attributable to any Shareholder and has not promptly thereafter become effective, or (iii) in the case of an underwritten offering, if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waived, other than primarily by reason of a failure on the part of any Shareholder.

Effective Registration Statement. A registration requested -------------------------------- pursuant to this Section 2.1 shall 1.1 will not be deemed to have been effected (i) unless it has become effective for the period specified in Section 1.3(a)(ii). Notwithstanding the preceding sentence, a registration requested pursuant to this Section 1.1 that does not become effective after the Company has filed a registration statement with respect thereto has become effective, (ii) if after it has become effective, such registration is interfered with solely by any stop order, injunction or other order or requirement reason of the Commission holder or other governmental agency holders of Registrable Securities requesting the registration having refused to proceed shall nevertheless be deemed to have been effected by the Company at the request of such holder or court for any reason and has not thereafter become effective, or (iii) in the case of an underwritten offering, if the conditions to closing specified in the underwriting agreement, if any, entered into in connection with such registration are not satisfied or waivedholders.

Effective Registration Statement.
