Common use of Effective Shelf Registration Statement Clause in Contracts

Effective Shelf Registration Statement. (i) If at any time, the Shelf Registration ceases to be effective, the Company shall use its best efforts to file and use its commercially reasonable efforts to cause to become effective a new “evergreen” shelf registration statement providing for an offering to be made on a continuous basis of the Registrable Securities. Such shelf registration statement shall be filed on Form S-3 or, if Form S-3 is unavailable to the Company, on Form S-1.

Such shelf registration statement shall be filed on Form S-3 S-1 (or, if Form S-3 is unavailable to the Companyavailable at such time, on Form S-1S-3).
