Common use of Effectiveness and Termination Clause in Contracts

Effectiveness and Termination. Upon the execution of this Agreement by the parties hereto, this Agreement shall become effective in this form as of the date first set forth above, and may be terminated at any time by any party upon thirty (30) days prior written notice to the other parties unless earlier terminated: (i) in accordance with Section 2(a); (ii) upon notice to the Authorized Purchaser by the General Partner in the event of a breach by the Authorized Purchaser of this Agreement or the procedures described or incorporated herein; or (iii) at such time as the Fund is terminated.

This Agreement may be terminated at any time time, without penalty, by any either party upon thirty (30) days prior hereto, by written notice from the terminating party to the other parties unless earlier terminated: (i) in accordance with Section 2(a); (ii) upon notice to the Authorized Purchaser non-terminating party. Such termination shall become effective 30 days after receipt by the General Partner in non-terminating party of such notice. This Agreement shall also terminate upon the event effectiveness of a breach by termination of the Authorized Purchaser employment of this Agreement or the procedures described or incorporated herein; or (iii) at such time Delegate as the Fund is terminatedcustodian of Assets.
