Common use of Effectiveness Conditional Clause in Contracts

Effectiveness Conditional. Notwithstanding Section 6.3 and Section 6.7, no Transfer or issuance of Units shall become effective or opposable to the Partnership or the Partners unless and until: (a) the conditions hereof and any applicable conditions set forth in the Securityholders Agreement have been satisfied, including as to the identity of the assignee; (b) the General Partner has consented thereto; (c) any assignee or subscriber, other than a Partner, has become bound by the terms hereof by an instrument acceptable to the General Partner; and (d) the date on which the General Partner has entered such Transfer or issuance in the Register. The assignee or subscriber, as the case may be, then becomes a Partner even, in the case of a Transfer, if the assignor is the General Partner.
